Tasks and Qualifications:
Main tasks:
- Reporting to the Regional Legal Counsel Europe (EMEA) you outline the structure of sales, project, product, and service contracts and general conditions.
- You sensitize and support the sales, purchase and implementation relating to legal matters in order to come to clear agreements with third parties.
- You assist Sales and/or Purchasing department with negotiating of contracts and be responsible for drafting of commercial contracts with customers, suppliers, distribution contracts, license agreements.
- You support R&D in managing and optimally use Dematic's intellectual property and liaise with global responsibilities.
- You advise on licensing and patents and liaise with outside counsel.
- You protect intellectual property to third parties through confidentiality agreements, determine violations, etc.
- Conciliation, arbitration and Litigation: where there is threatening juridical danger, you help deciding the strategy in order to avoid danger, report to global function and liaise with outside counsel.
- You support special files (government relations, real estate transactions transfer of ownership, acquisition merge files, …) in order to bring this to a successful end.
- You select and maintain contacts with external legal experts in order to build a good network.
- You liaise with group internal function and outside services to manage industrial risks and insurance.
- You keep yourself continuously informed of evolutions within the field, you keep your knowledge up-to-date in terms of new developments.
Your qualifications:
- Law degree (Master level) with 3 - 5 years' experience as a legal counsel in an international corporate legal department or as attorney in an international law firm.
- In either or both cases such experience was in Europe and involved a variety of corporate, commercial, transactional and competition work. Drafting and negotiating of international / cross-border agreements is a key competence.
- Confidence to act autonomously and take responsibility for counselling, negotiating and resolving legal matters.
- Self-starter and team player who is able to work independently.
- Excellent language skills (fluent English and German is a must).
- Good command of French and Dutch is a plus.
- Sense of ownership and drive: problem solver who shows a bias for action, acts promptly to remove "roadblocks" and ensures accountability to get things done in a timely manner.
- Excellent networking skills, successful relationship builder; able to deal at all levels in the organization.
- Good communication and presentation skills.
- Excellent ability to work under pressure.
