The Legal Department of the Firm has a number of key operations to meet our obligations to various regulatory oversight and investigative bodies as necessary.

The Office of the Secretary (“OTS”) is a practice group within the Legal Department. It operates through a corporate team and regional hubs, in New York, London (for Europe, the Middle East, and Africa: “EMEA”), and Hong Kong (for Asia Pacific). Its key objectives are to promote effective and consistent governance of the firm’s legal entities and branches through its partnerships with senior management, directors, control groups, lines of business, and corporate units.

Position Overview

OTS seeks a Vice President to be based in Frankfurt, reporting directly or indirectly to the Head of OTS EMEA. The role will be focused on providing governance advice and company secretarial support to the JPMorgan AG Management and Supervisory Boards, and to guide the directors in relation to all aspects of board effectiveness.

The environment is fast-paced and varied, often requiring that governance issues be addressed rapidly to ensure the Firm maintains first-class understanding of rapidly-evolving legal obligations in a highly-regulated industry. Strong analytical and collaborative skills will be important, together with the ability to work independently and be a true “self-starter”, as well as excellent written and communication skills.

Key Responsibilities

  1. Acting as trusted advisor to the Management Board in order to drive governance enhancements and to share best practices.
  2. Working closely with the Board Chairs in order to set the board agendas, run board meetings, and follow up with actions from meetings with businesses and management.
  3. Communicating effectively with the directors and senior management as appropriate in respect of all relevant governance matters.
  4. Monitoring corporate legislative, governance, and regulatory developments and implementing change as required.
  5. Driving governance standards in line with regulatory requirements and internal policies, and providing governance advice and guidance.

For the right candidate, this position offers the opportunity to enhance their expertise about corporate governance and to work closely with and influence senior management and directors.

Qualifications

  1. Qualified company secretary; or lawyer qualified in an EU jurisdiction with a strong interest in corporate governance issues.
  2. Between 3 and 5 years of relevant experience.
  3. Awareness of corporate governance matters impacted by changing law and regulations in the financial services industry.
  4. Experience in regulatory reporting/filing is an advantage.
  5. Ability to work as a collaborative and proactive member of a team.
  6. Must be meticulous, organized, and take pride in work.
  7. Ability to work in a fast-paced environment and within tight deadlines.
  8. Strong interpersonal, presentation, and communication skills.
  9. Excellent written and spoken English is imperative; ability to read, write and speak other European languages is an advantage.

  6. Well-organized and confident, with excellent planning skills.
