Associate Legal Counsel - M&A

As an Associate Legal Counsel, you'll navigate all phases of M&A projects, from structuring deals and drafting documentation to closing and post-closing matters, collaborating closely with internal and external stakeholders worldwide.

Key Responsibilities:

1. Provide legal support on M&A transactions, including drafting, reviewing, and supporting the negotiation stage.
2. Manage all phases of M&A projects: NDA, deal structuring, Due Diligence, negotiation, drafting, signing, closing, and post-closing.
3. Coordinate internal teams and external advisors across multiple jurisdictions to ensure smooth transaction workflows.
4. Collaborate with cross-functional teams, including Strategy/M&A, Tax, Antitrust, and Finance, to align legal advice with business objectives.
5. Develop pragmatic solutions to complex legal issues while balancing business priorities.
6. Contribute to the continuous improvement of internal legal processes and tools to enhance work efficiency.

Minimum Requirements:

1. Fully qualified lawyer with an excellent academic degree and admission to the bar (for Germany-qualified applications, successful completion of the 2nd state exam).
2. 1-3 years of experience in M&A, ideally in an international law firm.
3. Strong analytical skills and the ability to provide pragmatic, business-oriented legal solutions.
4. Proficient in English (written and verbal), with exceptional drafting skills; additional languages are a plus.
5. Demonstrated ability to thrive in a collaborative, diverse, and dynamic workplace.
6. Exceptional project management and stakeholder coordination skills.
