Senior Legal Consultant - Commercial & Corporate Law (Parktown)

This individual will be responsible for assisting the Team in driving the legal operations of the Company.

REQUIREMENTS

1. South African citizenship
2. Bachelor of Law / LLB (BCom Law will be preferred)
3. Senior Admitted Attorney
4. Excellent grasp of the Companies Act
5. 3+ years in a Corporate Commercial Environment
6. Discussion can take place should the successful candidate have an established client base
7. Working knowledge of legislation in the areas of taxation, estate administration, and corporate law
8. Ability to perform under pressure and meet deadlines
9. Effective interpersonal skills and attention to detail
10. Ability to self-manage, manage junior employees, and prioritize responsibilities
11. Ability to communicate effectively with all role-players
12. Proficiency in Microsoft Office

COMMERCIAL AND CORPORATE LAW

This position will be geared towards a Commercial Governance offering and will include the following functions:

1. Drafting of legal agreements such as Sale of Business, Shareholders', Asset for Shares, Subscription, Call-option, Non-Disclosure, Employment, Confidentiality / Restraint, Surety / Loan Agreements, as well as Memorandum of Incorporation, Wills & Deeds of Trust, Board / Shareholder Resolutions, Board Charters, Terms of Reference, and Policies;
2. Meeting management assistance and managing action lists;
3. Engaging with independent legal teams to close transactions;
4. Legal / Governance opinions and advice on various corporate law transactions and tax;
5. Managing and advising in all aspects of Corporate Group Restructures;
6. Providing Corporate Trustee and Independent Non-Executive Director services to clients;
7. Assistance to the Directors with all related Legal and Corporate Governance requirements, as they arise.
