Job description
Our client, a leading independent power producer in Africa, is searching for a skilled Senior Lawyer to join their team. Based in Cape Town, you will play a crucial role in ensuring good corporate governance across their operations.
Responsibilities:
Provide advice and support in respect of all legal aspects of the business, including internal structuring, intra-company service level agreements and re-organisations.
Undertake legal risk analysis and work with the commercial team to obtain all necessary approvals for proposed investments/acquisitions/disposals/joint ventures.
Assist with the preparation of internal approvals required including investment committee papers, board resolutions and board packs.
Assist with the preparation of policy documentation for the group, and to provide ongoing guidance and ensure adherence by project teams in relation to the anti-corruption and code of conduct policies of the group.
Assist the General Counsel and Company Secretary to ensure good corporate governance including working with Shareholders to document parent/shareholder arrangements and assisting with ad hoc corporate secretarial matters.
Requirements:
Bachelor's Degree in Law.
Minimum of 6 years post-admission experience, with demonstrated expertise in corporate governance, compliance and legal risk management.
Some M&A and Company Corporate experience would be helpful.
