Main purpose of position

Currently, we are looking for a Legal Counsel in Cape Town, South Africa, to be part of our global team working together towards our vision – Improving our future. As our Legal Counsel, you will be providing legal support on all legal and contractual aspects related to the development of projects, partnerships/joint ventures, acquisition of shares/project rights, offtake arrangements, as well as financing of projects. You will provide general legal support to regions globally on all legal matters (including disputes) other than legal matters falling within the solutions legal scope.

Main responsibilities

  1. Draft and negotiate LoIs, conduct legal due diligence support for investments and divestment processes.
  2. Draft and negotiate acquisition agreements, shareholders agreements, partnership/joint venture agreements, joint development agreements, development services agreements, and other agreements of a similar nature.
  3. Draft and negotiate mandate letters, finance termsheets, negotiate finance agreements (including security package) for projects, and manage CP fulfillment process to ensure financial close in accordance with expected timelines.
  4. Draft and negotiate power purchase and/or offtake agreements, grid connection agreements, and related transmission and distribution agreements.
  5. Draft and negotiate land option, land lease, and/or similar project land-related agreements.
  6. Conduct periodic general risk assessments to identify potential areas of compliance vulnerability and risk within the relevant region.
  7. Collaborate with other departments (e.g., business development, supply chain management, engineering, project management, site management, accounting, internal auditing, etc.) to identify potential risk and mitigating actions for projects as early as possible. Identify and evaluate project risks, support in developing corrective action plans to mitigate potential risks, and provide general guidance on implementation.

Qualifications and competencies

  1. Law degree.
  2. Minimum 3-5 years’ relevant work experience: either law firm or in-house counsel.
  3. Excellent English skills, both written and verbal.
  4. Commercial drafting and reviewing documents experience.
  5. Experience in the following areas: Renewable energy; Oil/gas; corporate finance and/or project finance; project development; public procurement; FIDIC suite of contracts.
