Job description

Our client in the renewable energy sector is seeking an In-House Legal Advisor.

This role is perfect for a highly organized individual who will work closely with the transaction, construction, and asset management teams.

Key Responsibilities

  1. Providing general legal advice.
  2. Managing contract and document processes.
  3. Interpreting legal agreements such as commercial, financial, EPC, and O&M agreements.
  4. Supporting project development, transactions, financial closings, and operations of renewable energy plants.
  5. Interpreting and advising on existing transaction documents such as corporate documents, finance agreements with third party financiers, power purchase agreements, EPC and O&M Agreements.
  6. Drafting claims and responses to claims from contractors.
  7. Advising on corporate governance and companies act obligations.
  8. Drafting resolutions.
  9. Negotiating legal agreements such as options to purchase land, long term leases, share purchase agreements, non-disclosure agreements, etc.
  10. Working with senior management to implement strategy for the Company and its electricity trader.

Transaction Administration

  1. Setting up and maintaining project data rooms.
  2. Managing data rooms and due diligence processes.
  3. Managing and assisting with condition precedent fulfilment.
  4. Assisting with drawdowns.
  5. Establishing and maintaining the document folder structure for draft contracts and schedules.
  6. Tracking and comparing changes and controlling contract and schedule revisions.
  7. Finalising transaction folders and bibles and setting up post-closing administration.
  8. Participation in financial close meetings.
  9. Supporting the business development team with tender compliance and presentations.

Operations Administration

  1. Administering PPA, Shareholders Agreement, and Finance Documents.
  2. Preparing reporting timetable for each project company and ensuring all teams (technical, ESG, finance) are aware of their reporting requirements.
  3. Drafting notices and other correspondence.
  4. Liaising with financiers, shareholders, investors, and contractors on project documents.
  5. Establishing and maintaining the operations management folder structure relating to executed contracts.
  6. Participating and chairing Asset Management and Financial Close Team meetings and updates.
  7. Ensuring contract deliverables are received by the client and/or relevant stakeholders timeously.
  8. Liaising with the company secretary and/or drafting certain documents if possible.
  9. Preparing board packs and managing board meetings.
  10. Reviewing and preparing monthly reports.

Qualifications & Experience

Minimum 4-year post articles experience. Experience working in fields such as general commercial and/or construction (FIDIC) is an advantage. Position is available for both candidates with in-house legal experience and candidates that are currently practicing law.
