Role Overview:

The Senior Manager, Corporate Secretarial will play a pivotal role in overseeing corporate secretarial functions for the REIT, ensuring compliance with SGX listing requirements and supporting board-related matters. The ideal candidate will have at least 10 years of experience, with strong exposure to SGX-listed companies and a solid understanding of the regulatory environment for REITs. This role requires a proactive, detail-oriented professional to support corporate governance, statutory compliance, and shareholder communications.


Key Responsibilities:

  1. Oversee all corporate secretarial matters for the REIT, ensuring compliance with SGX listing rules and other relevant regulations.
  2. Manage board and committee meetings, including the preparation and review of board papers, minutes, resolutions, and ensuring timely filings.
  3. Act as a key advisor to the Board of Directors and senior management on corporate governance practices, regulatory requirements, and best practices.
  4. Ensure accurate and timely preparation and submission of announcements, circulars, and annual reports in compliance with SGX requirements.
  5. Liaise with external stakeholders, including regulatory authorities, shareholders, and service providers.
  6. Coordinate and manage shareholder meetings, including annual general meetings (AGMs), extraordinary general meetings (EGMs), and proxy arrangements.
  7. Maintain statutory registers and ensure proper record-keeping of corporate documents and filings.
  8. Support internal stakeholders on corporate governance matters and provide guidance on regulatory and compliance issues.
  9. Drive continuous improvements in corporate secretarial processes to enhance efficiency and compliance.

Qualifications:

  1. ICSA-qualified or equivalent, with at least 10 years of relevant experience in corporate secretarial functions.
  2. Proven experience working with SGX-listed companies, ideally within a REIT or real estate sector.
  3. Strong knowledge of SGX listing rules, Companies Act, and regulatory requirements relevant to REITs.
  4. Excellent organizational and communication skills, with a keen eye for detail.
  5. Ability to work effectively in a collaborative team environment while maintaining high levels of accuracy and professionalism.
  6. Proactive and adaptable, with the ability to manage multiple priorities in a fast-paced environment.
