Drafting, negotiating and reviewing a wide range of acquisition and project documents (e.g. SPA, LPA, EPC contract, O&M contract and financing documents) and other commercial contracts in conjunction with the investment team for principal investments in various sectors with a focus on renewable energy development projects and waste infrastructure development projects.
Providing legal support to different business units including contract review (e.g non-disclosure agreements, services agreements, engagement letters and various commercial agreements).
Liaising with external counsels in relation to review of acquisition and project documents, corporate governance and general corporate law matters – e.g. incorporating, maintaining, restructuring of entities.
Legal due diligence in relation to pipeline deals, potential M&A, internal restructuring of assets, etc.
Working closely with the investment team in relation to third party due diligence and risk management and maintaining compliance records.
Assistance in any potential and/or on-going dispute resolution process.
Review, standardisation, maintaining company templates of legal documents.
Requirements
Qualified in a common law jurisdiction.
5-8 years PQE within a private practice or an in-house environment (or combination of both) dealing with commercial or transactional matters. (Candidates outside of the stated PQE may be considered).
Experience in reviewing power (renewables) and infrastructure project development documents.
Experience in corporate compliance and regulatory matters.
Commercially savvy, understanding of the business development process and commercial negotiation is a plus.
Meticulous and good organisation skills.
Good interpersonal and communications skills.
Self-motivated and able to work well independently as well as in a team.
