Job description

We are looking for a strategic and forward-thinking Head of Legal to lead the legal department and manage all legal matters across the organization. The Head of Legal is accountable for managing Regulatory, Compliance and Risk, Corporate Governance and General Legal matters for the Company. The General Counsel will serve as key counsel to the executive team, mitigate risk, and ensure the company’s operations align with the highest legal and ethical standards.

Key Responsibilities

  1. Establish and leads all Regulatory, Compliance and Risk Framework working with the executive team in establishing Company policy, processes and controls to facilitate business transactions, as well as providing guidance and expanding this framework as the Company quickly expands into new markets and deploys new products.
  2. Establish and leads all aspects of Corporate Governance, including Shareholder, Board and Committee management, Incorporations and Corporate Filings for the Company and subsidiaries, including managing requisite vendors to enable the desired outcomes.
  3. Lead all legal matters, including providing comprehensive legal advice to business stakeholders on a broad and emerging range of issues, including corporate governance, mergers and acquisitions, intellectual property, contracts, litigation, and compliance matters.
  4. Draft, review, and negotiate a wide variety of commercial contracts and agreements including sales, vendors, and all ancillary agreements including NDAs, partnerships, subcontractors, etc. Corporate transactions including mergers and acquisitions and related equity and debt agreements, term sheets, investment and shareholder agreements ensuring that they are legally sound and protect the company’s interests.
  5. Identify and mitigate legal risks across the business, helping to make informed decisions that align with company goals.
  6. Work closely with cross-functional teams, including commercial, finance, and operation teams, to support business initiatives and resolve legal challenges.
  7. Keep abreast of changes in relevant laws and regulations, advising the organization on necessary adjustments to maintain compliance.

Qualifications

  1. At least 10 PQE with experience in an in-house legal department, preferably with the relevant experience:

  3. Regulatory and Compliance
  4. Shareholder and Corporate Governance
  5. Investor and Mergers and Acquisition Agreements
  6. Cross Functional Collaboration
  7. Direct supervision of junior Staff
  8. Expertise in drafting and negotiating commercial contracts
  9. Enjoys being challenged, is adaptable and able to manage multiple tasks in a dynamic corporate environment
  10. Admitted to practice in Singapore or any commonwealth jurisdiction
