Job description

Reporting to the Head of Corporate Service Center, this pivotal role involves the comprehensive assessment and management of legal risks for affiliates in Singapore and Southeast Asia. The successful candidate will adeptly handle routine legal matters, ensuring strict compliance with laws and regulations, mitigating legal risks, and enhancing the Company's legal rights.

Responsibilities:

  • Advise the Boards on critical legal matters, including contemplated actions and strategic decisions.
  • Organize board meetings as corporate secretary and to prepare and maintain accurate minutes for Board and/or Shareholders meetings.
  • Communicate and work closely with the Legal Division in our Japan Corporate Headquarters on legal plans and activities in Singapore and Southeast Asia.
  • Provide expert legal advice on all matters impacting the business operations of group companies in the region, including the interpretation of laws, rulings, and regulations.
  • Manage and cultivate relationships with external counsel to leverage their expertise effectively.
  • Draft and review a wide range of legal documents, including negotiating significant contracts for affiliates in Singapore and Southeast Asia.
  • Organize and manage agendas and schedules for necessary corporate procedures, ensuring compliance with corporate law.
  • Develop and implement internal governance policies and manage the impact of external factors such as legislative changes.
  • Managing the internal controls and audit functions to monitor and ensure the corporate compliance with internal rules and regulations.
  • Establish robust systems to identify areas of criticality or high risk from a legal perspective.
  • Review and develop comprehensive risk mitigation programs.
  • Procure appropriate insurance to cover the Companies’ risks.

Requirements:

  • Bachelor of Law with at least 10 years of relevant experience.
  • Bar qualification in an English-written law country is highly preferred.
  • Extensive expertise in a wide range of legal areas, including corporate law, contracts, intellectual property, antitrust, export control, and other laws pertinent to the Company's business.
  • Japanese language proficiency is required for liaising with counterparts in Japan Headquarters
  • Exceptional interpersonal and communication skills, with the ability to effectively collaborate with diverse teams and stakeholders.
  • Demonstrated professional ethics and integrity, with a commitment to upholding the highest standards of legal practice.
  • Demonstrated ability to critically evaluate and challenge established practices, while proposing innovative and effective solutions.
  • Proactive in keeping abreast of legislative changes and assessing their potential impact on the business.
  • Meticulous attention to detail, ensuring accuracy and compliance in all legal matters.
  • Strategic thinker with the ability to anticipate legal risks and develop comprehensive mitigation plans.
  • Understanding of the chemical industry and business operations is preferred.
