About the Team & Business Line:

Fund Administration is Citco's core business, and our alternative asset and accounting service is one of the industry's most respected. Our continuous investment in learning and technology solutions means our people are equipped to deliver a seamless client experience.

As a core member of our Private Equity team, you will be working with some of the industry's most accomplished professionals to deliver award-winning services for complex fund structures that our clients can depend upon.

Your Role:

  • Demonstrate a comprehensive understanding of the Singapore Companies Act, Corporate Governance principles, ACRA regulations, and filing requirements, applying this knowledge to ensure client compliance and best practices.
  • Manage and oversee all service-related matters for a diverse portfolio of client companies from a corporate secretarial perspective, including statutory compliance, corporate governance, and regulatory filings.
  • Lead and supervise a team comprising company secretaries and support staff both in Singapore and shared service centers. Coordinate internal and external timelines effectively to ensure timely delivery of services to clients, maintaining high quality standards.
  • Play a key role in board meeting preparations, including drafting agendas, preparing board papers, and assisting in the convening of meetings for clients. Ensure all necessary documentation is prepared and distributed in a timely manner.
  • Serve as the primary point of contact for clients, addressing their inquiries and concerns promptly. Be prepared to handle urgent corporate secretarial tasks as they arise, demonstrating flexibility and responsiveness.
  • Provide comprehensive transactional support for various corporate projects, ensuring strict compliance with each client's Service Level Agreement (SLA). This may include managing corporate restructurings, share transfers, and other complex transactions.
  • Foster effective communication and working relationships with a wide range of stakeholders, including clients, investors/shareholders, auditors, tax agents, property managers, and legal counsels. Act as a liaison to facilitate smooth interactions and information flow.
  • Work closely with the KYC/compliance team to streamline and expedite the new entity onboarding process, ensuring all regulatory requirements are met while maintaining efficiency.
  • Demonstrate the ability to work independently, organizing and prioritizing work effectively with minimal supervision. Maintain a flexible and proactive attitude in addressing client needs and team challenges.
  • Implement and monitor Key Performance Indicators (KPIs) for account team members, ensuring they are met consistently. Develop strategies to improve team performance and efficiency.
  • Regularly assess and monitor the workload of account team members, ensuring equitable distribution of responsibilities. Make informed decisions on the allocation of new and existing clients to maintain optimal team performance.
  • Design and deliver comprehensive training programs for staff, focusing on technical skills, client service, and professional development. Provide ongoing coaching and mentorship to team members to enhance their capabilities and career growth.

About You:
  • You hold a recognized degree or diploma in Business Administration, Corporate Services, Legal Studies, or an equivalent field.
  • Have more than 5 years in a corporate secretarial department, either in-house or with a service provider in Singapore.
  • You are preferably professionally certified with the Chartered Governance Qualifying Programme (CGQP) qualification and a member of the Chartered Secretaries Institute of Singapore (CSIS), but not must.
  • You possess an in-depth understanding of Singapore's regulatory compliance framework, including intimate knowledge of the Companies Act, corporate governance best practices, and ACRA regulations. You stay updated on regulatory changes and their implications for clients.
  • Experience in handling corporate secretarial matters for Private Equity and Real Estate, Segregated Portfolio Companies structures, including Special Purpose Vehicles (SPVs), Management and Holding/Prop Companies, Listed and Non-Listed companies and Trust structures.
  • Affinity with accounting and relevant educational experience in reviewing financial statements.
  • Team player.
  • Proven ability to multi-task while meeting challenging deadlines for multiple clients at a time.
