Finance Legal Counsel

1.OVERALL SUMMARY

This hands-on role provides legal assistance and advice to the Treasury/Finance function within Easten Pacific Shipping Pte. Ltd. ('EPS') and works with external counsel to ensure the effective preparation, negotiation and execution of contracts for Quantum Pacific Shipping ('QPS') finance and related sale and purchase transactions whilst ensuring compliance with relevant laws, international conventions and practices.

2.AREAS OF RESPONSIBILITY

1. Provide legal advice and support to the EPS Treasury/Finance function and management, as required, in connection with all financial matters related to EPS.
2. Develop and negotiate appropriate contracts and agreements for financing transactions, swaps arrangements, sale and leaseback transactions and sale and purchase of QPS assets to ensure that QPS benefits from the best possible terms that allow QPS to effectively conduct its business.
3. Monitor compliance with relevant legal, regulatory and operational matters relevant to QPS and its assets and communicate appropriate information in a timely manner to banks or other financial institutions, shipping registries and other third parties.
4. As required, prepare and arrange execution of appropriate corporate authority documents, conditions precedent, know-your-customer documents and evidence related to QPS and other relevant ancillary or supporting documentation.
5. Work in conjunction with external counsel and banks or other financial institutions on legal documentation, and shipping registries and other third parties, as required.
6. Advise on and assist in resolving disputes relating to legal documentation or contracts relating to the Treasury/Finance function including:
1. Implementing and/or responding to legal, arbitration and other dispute resolution processes.
2. Ensuring QPS and its principals are effectively legally represented in legal, arbitration, mediation and other dispute resolution processes and before governmental and regulatory authorities.
3. Where external legal professional advice is required, identify and source suitable resources, instruct and coordinate external advisors, monitor costs and manage their work to ensure that the interests and objectives of QPS and its principals are met or in each case, support other EPS personnel in doing so.
7. Ensure compliance with all relevant laws, international conventions and practices as applicable to and adhered to by QPS, as well as handling all Know-Your-Customer ('KYC') and its related matters for Treasury/Finance.

3.REQUIREMENT

1. Admitted to practise law as a solicitor, attorney, or equivalent in a common law country.
2. A minimum of 7 years' post-qualification experience, either in professional private practice or in-house in the area of finance (preferably shipping) and contractual work.
3. Previous experience in the international shipping finance industry would be preferred.
4. Highly developed skills in written and spoken English to draft accurate legal documents and communicate, influence and negotiate pragmatically and effectively.
