Introduction

Structuring & Execution (S&E) is Temasek’s in-house M&A specialist team within the Investment Group. The team focuses on structuring and executing large and complex transactions across industries globally, including public & private M&A, joint ventures, spin-offs, capital raises, and restructuring (among others).

The successful candidate will be joining a lean and highly collaborative team, working closely with various teams across the Temasek ecosystem to deliver impactful outcomes.

Key Focus Areas

  • Deal Structuring: Develop and execute transaction structures to achieve Temasek’s investment and/or divestment objectives.
  • Financial Analysis: Evaluate financial impact of transaction structures and assist with financial modelling, returns evaluation and due diligence.
  • Negotiation & Documentation: Negotiate and review investment term sheets and transaction documents, with a focus on commercial and financial aspects.
  • Overall execution: Oversee overall transaction processes, proactively addressing issues & risks and coordinating with internal and external stakeholders to drive successful outcomes.

Responsibilities

  • Drive structuring and execution of complex investments and divestments.
  • Collaborate with industry, markets and portfolio development teams, alongside legal, tax and finance teams to assess and structure deals.
  • Negotiate and review transaction terms and documents.
  • Conduct in-depth financial analysis of potential transaction structures.
  • Prepare and present recommendations to deal teams and senior management.

Requirements

  • Bachelor’s degree from an accredited university preferred.
  • 4-5 years relevant experience with a top-tier private equity, investment bank, corporate finance/M&A firm.
  • Ability to thrive in fast-paced environments while managing multiple priorities.
  • Proactive and keen solutions-oriented mindset.
  • Advanced analytical thinking and financial modelling capabilities.
  • Strong communication, interpersonal and teamwork skills.
  • Proficiency with data tools such as Bloomberg, Capital IQ, and Factiva.
  • Note: Deal structuring experience is not a requirement.
