Overview

The Kairos Renewables Group, which is in the business of developing and investing in wind, solar, and battery renewable energy projects in Southeast Asia, is seeking to hire a Corporate Secretary to join our dynamic team in Singapore.

As the Corporate Secretary, you will be responsible for managing corporate governance and assisting in legal compliance matters for the company. You will play a key role in ensuring that the organization adheres to local regulations and best practices in corporate governance, and will work closely with senior management, the board of directors, and external stakeholders.

The Corporate Secretary will be part of the Legal team and report directly to the General Counsel. This is a new position created to support the Group’s rapid growth and expansion.

Key Responsibilities

As Corporate Secretary, you will, among other things:

  • Act as the Corporate Secretary for the organization, ensuring compliance with the Singapore Companies Act and other relevant laws and regulations.
  • Coordinate and manage corporate governance across the group, including managing service providers overseas (in particular in other Southeast Asian and East Asian countries).
  • Prepare and maintain corporate governance documents, such as minutes of meetings, resolutions, and registers of directors, shareholders, and other corporate records.
  • Coordinate and organize board and shareholder meetings, including preparing agendas, distributing materials, and ensuring proper record-keeping.
  • Advise the board of directors and management on corporate governance matters, regulatory requirements, and legal obligations.
  • Handle the preparation and filing of statutory returns and documents with the Accounting and Corporate Regulatory Authority (ACRA) and other regulatory bodies.
  • Maintain and update corporate records and registers in accordance with statutory requirements.
  • Ensure compliance with the legal framework for the organization’s operations, including corporate filings, licenses, and permits.
  • Liaise with external legal advisors, auditors, and regulatory authorities as needed.
  • Support the onboarding and induction of new directors and shareholders.
  • Assist in the preparation of annual reports, corporate disclosures, and other regulatory submissions.
  • Monitor changes in laws, regulations, and best practices and provide guidance to management on potential implications.
  • Provide general administrative and support to senior management and the board.

Qualifications

Candidates would need to have the following qualifications:

  • Bachelor's degree from a recognised university and/or qualified Chartered Secretary (ACIS/FCIS) or hold a relevant professional qualification.
  • Minimum of 5-10 years of experience in a corporate secretarial or legal role, preferably in a corporate environment in Singapore.
  • Strong knowledge of the Singapore Companies Act, corporate governance practices, and regulatory requirements.
  • Native or expert-level fluency in written and spoken legal English is essential, as the role requires precise use of English terminology and interacting with stakeholders in other countries.
  • Excellent organizational skills and attention to detail.
  • High level of integrity, professionalism, and discretion to maintain confidentiality and handle sensitive information with discretion.
  • Exceptional communication and interpersonal skills, with the ability to effectively communicate governance concepts and requirements to stakeholders and to interact professionally with individuals at all levels and from all backgrounds.
  • Proficiency in Microsoft Office Suite and corporate secretarial software.
  • Ability to work independently and collaboratively with internationally based colleagues and reporting lines in a fast-paced environment, with a proactive and solution-oriented approach.
  • Excellent organizational skills and the ability to prioritize and manage multiple tasks effectively under tight deadlines.
  • Flexibility and eagerness to adapt to changing priorities and work independently or collaboratively within an enthusiastic team working together in a highly dynamic environment.

Candidates possessing the following skills / experience would be especially favorably considered:

  • Experience with corporate governance work and requirements in Philippines, Thailand, and Vietnam.
