ROLE OVERVIEW
The Entities Governance Lead will play a pivotal role in supporting and managing NEOM’s growing and diverse portfolio of directly owned subsidiaries, joint ventures and other entities in alignment with NEOM’s Subsidiary Governance framework and Operating Model.
Key Responsibilities:
- Support the development and maintenance of the Subsidiary Governance Policy, the Handbooks, the Directly Owned Subsidiary (‘DOS’) Delegation of Authority (‘DoA’), the NEOM Remuneration and Compensation Guidelines and other relevant documents.
- Monitor the specific portfolio of DOS and joint ventures (JVs) assigned and annual calendar of activities.
- Where nominated as a relationship manager, act as the NEOM first point of contact for subsidiaries and joint ventures on all governance related matters (post-incorporation), building trusted and professional relationships with key subsidiary and joint venture stakeholders.
- Provide advice and guidance to subsidiaries and joint ventures on NEOM’s governance standards and leading practice.
- Support the drafting of Capital Owner resolutions and ensure that records are maintained.
The ideal candidate will possess both technical expertise and experience, along with strong communication and leadership skills to effectively influence and collaborate across multiple stakeholder groups. This role reports to the Senior Manager, Entities Governance.
KEY ACCOUNTABILITIES & ACTIVITIES
Processes and Procedures
- Support the development of NEOM’s portfolio management processes (post-incorporation), including all related procedures, guidance and templates.
- Ensure consistency in the application of the above processes and supporting documents.
- Where required, provide relevant templates to subsidiary and joint venture stakeholders.
- Maintain records of all Capital Owner approvals and supporting documentation in line with applicable legal and regulatory requirements, as well as NEOM policies and procedures.
- Develop and manage a database of potential Board Members.
Governance
- Support the development and maintenance of the Subsidiary Governance Policy, the Handbooks, the DOS DoA, the NEOM Remuneration and Compensation Guidelines and other relevant documents (to include coordinating a review at least annually and as required following updates to Applicable Laws and Regulations).
- Review standard documents that have been tailored by the subsidiaries and joint ventures prior to their board adoption. For example, Board and Committee Charters, Organization Level DOS DoA etc.
- Support the maintenance of the NEOM Entities Governance intranet site and ensure that it remains relevant, fit for purpose and provides all the necessary information for subsidiaries and joint ventures.
- Coordinate requests for Exemptions and Variations.
- Support in providing advice and guidance on the application of the NEOM and DOS DoA.
Portfolio Management
- Support the development and monitoring of the overall portfolio management plan and annual calendar of activities.
- Support in providing advice and guidance to subsidiaries and joint ventures on NEOM’s governance standards and key requirements.
- Support communications on governance requirements (new developments, reporting cycle dates, certification dates etc.) with subsidiaries and joint ventures.
- Attend operationalization steering meetings and provide information as required.
Relationship Management
- Where nominated as a relationship manager, act as the NEOM first point of contact for subsidiaries and joint ventures on all governance related matters (post-incorporation).
- Work closely with subsidiary and joint venture points of contacts, building trusted and professional working relationships.
- Act as a point of escalation in respect of portfolio management matters.
- Build trusted and professional relationships with key subsidiary and joint venture stakeholders.
- Guide subsidiaries and joint ventures on the relevant NEOM stakeholders to engage with in relation to requests from government agencies.
Subsidiary/Joint Venture Board Support
- Support subsidiaries and joint ventures on their committee structure and composition.
- Support in the development of a governance update at the entity’s first board meeting.
- Ensure that subsidiary and joint venture boards are aware of the relevant tools and processes to support board effectiveness.
- Support the Board Secretariat on the drafting and compliance of governance related resolutions to be presented to subsidiary and joint venture boards.
Capital Owner
- Support the drafting of Capital Owner resolutions and ensure that records are maintained.
Stakeholder Engagement
- Establish regular meetings with subsidiary and joint venture representatives to consider their upcoming board and committee meetings and the key business to be transacted.
- Liaise with relevant internal and external stakeholders in respect of portfolio management and entities governance matters.
BACKGROUND, SKILLS & QUALIFICATIONS
Knowledge Skills and Experience
- 5+ years of relevant experience in governance or company secretarial practice.
