ROLE OVERVIEW

The Contracts Manager will be responsible for providing advisory and contract management support for the Trojena project, ensuring compliance, risk mitigation, and effective governance of development and project delivery contracts between NEOM, general contractors, suppliers, and technology providers. This role requires expertise in contract negotiations, dispute resolution, potential equity and loan arrangements, and compliance monitoring for the supply chain, including digital software tool providers integrated into contractor agreements.

KEY ACCOUNTABILITIES & RESPONSIBILITIES

Contract Management & Negotiation

  • Review, draft, and negotiate project development, procurement, and supplier contracts, ensuring alignment with NEOM’s governance requirements.
  • Ensure all contracts for contractors, suppliers, and technology providers align with NEOM’s project delivery strategy and digital integration policies.
  • Provide guidance on contractual risks, potential claims, and liabilities, ensuring fair and enforceable contract terms.
  • Establish clear dispute resolution frameworks, focusing on mitigating risks related to project delays, claims, and indemnifications.

Governance & Compliance

  • Implement governance mechanisms to ensure compliance with regulatory requirements, NEOM standards, and international best practices for contract management.
  • Monitor contractor and supplier adherence to contractual obligations, ensuring risk assessments and compliance audits are performed regularly.
  • Develop and enforce protocols for contract variations, claims, and performance guarantees in coordination with project teams.

Risk & Claims Management

  • Identify and mitigate potential contractual conflicts arising from access delays, loss/expense claims, and concurrent delays among multiple contractors.
  • Lead strategic dispute resolution processes, working closely with internal stakeholders, contractors, and representatives to resolve claims efficiently.
  • Provide advisory support on contract termination, liquidated damages, and liability issues in project execution.

Supply Chain & Technology Contract Compliance

  • Ensure digital software tool providers engaged in Trojena’s construction comply with contractual integration, security, and data governance requirements.
  • Review and negotiate digital integration agreements between NEOM and suppliers to align with real-time project reporting and analytics needs.
  • Ensure seamless coordination between the Program Management Delivery System and contractor workflows through enforceable contract terms.

Stakeholder Coordination & Reporting

  • Work closely with NEOM’s commercial and procurement teams to streamline contract execution and risk management.
  • Develop contract compliance training and guidelines for internal teams and contractors.
  • Provide periodic risk assessments and contract performance reports to NEOM leadership and project directors.

EXPERIENCE & QUALIFICATIONS

Knowledge, Skills, and Experience

  • 7+ years of experience in corporate, commercial, or construction law, with a focus on M&A, dispute resolution, equity agreements, and contract negotiation.
  • Developing expertise in EPC+F contracts, supplier agreements, and risk management.
  • Established knowledge of Saudi Arabian contract law, international construction contracts (FIDIC, NEC, or equivalent), and governance frameworks.
  • Experience in handling supply chain contracts, particularly for technology or digital service providers in mega projects.
  • Excellent negotiation, drafting, and stakeholder management skills.
  • Understanding of real-time reporting systems and digital contract integration in construction.
  • Experience with dispute resolution and claims mitigation in large-scale projects.
  • Ability to analyze contract risks and implement proactive governance frameworks.
  • Familiarity with NEOM’s legal and regulatory environment.

Qualifications

  • Bachelor’s degree in Business Law or Contract Management.
  • Master’s degree (preferred).
