Job description

On behalf of a leading food manufacturing company in Jeddah, we’re searching for a Board Secretary & Legal Affairs Manager to join their leadership team. This role combines corporate governance expertise with hands-on legal advisory responsibilities, playing a pivotal role in ensuring regulatory compliance and effective board operations.

Position: Board Secretary & Legal Affairs Manager

Key Responsibilities:

Board Secretariat Function:

  • Organize and coordinate all Board of Directors and Committee meetings, including preparing agendas, supporting documents, and formal minutes.
  • Provide expert advice to the Board and senior leadership on corporate governance best practices and compliance with applicable laws and internal policies.
  • Maintain a detailed and confidential repository of all Board and shareholder resolutions, charters, mandates, and meeting records.
  • Ensure timely filing of statutory documents with regulatory authorities (e.g., MISA, MCI, CMA where applicable).
  • Facilitate Board evaluations and manage onboarding and training for new directors.

Legal Affairs:

  • Draft, review, and negotiate a wide range of commercial contracts including supply agreements, distribution contracts, vendor/supplier agreements, NDAs, and MOUs.
  • Oversee regulatory compliance matters across all company functions including manufacturing, product labelling, advertising, import/export regulations, and employment law.
  • Monitor legal developments and assess implications on business operations; proactively update internal policies and procedures.
  • Manage external legal counsel relationships and ensure cost-effective, high-quality legal support.
  • Support in managing litigation, arbitration, and dispute resolution when required.
  • Lead risk assessment initiatives and advise departments on legal exposure mitigation.

Requirements:

  • Bachelor’s degree in Law (LLB); a Master's degree or professional qualification (LLM, ICSA, etc.) is a plus.
  • 4-8 years of relevant experience in legal advisory and board governance, preferably within the food manufacturing, FMCG, or industrial sector.
  • Proven experience as Board Secretary in a regulated entity, with solid exposure to corporate governance frameworks in Saudi Arabia.
  • Strong command of Saudi corporate, commercial, labour, and regulatory laws.
  • Exceptional drafting, negotiation, and legal analysis skills.
  • Bilingual fluency in Arabic and English (written and spoken) is mandatory.
  • Excellent interpersonal skills, professional judgment, and high ethical standards.
  • Able to manage multiple priorities in a fast-paced environment with discretion and a proactive mindset.
