Job description

Federal Land Development Authority (FELDA) – Kuala Lumpur, Kuala Lumpur

This position is responsible for overseeing the legal and secretarial affairs of the entire organisation. The role involves providing legal counsel to the Board of Directors, the Chairman of the Board, the Group Chief Executive Officer, and other senior management. Additionally, the Head of Legal and Secretarial ensures compliance with standard legal practices and is responsible for maintaining corporate governance standards. The Company Secretary also serves as a crucial communication link between the company’s shareholders and the Board of Directors.

Legal:

  1. Develop and implement legal and secretarial strategies to support the company's goals and objectives.
  2. Ensure the company’s interest is always legally safeguarded.
  3. Provide legal counsel and advice on all legal matters relevant to the organisation.
  4. Anticipate and identify legal issues and counsel officers of the organisation and top management to develop legal strategies and solutions.
  5. Review, research, interpret, and prepare both written and oral opinions on a wide variety of legal issues.
  6. Draft, review, and approve policies and procedures, regulations, bylaws, and other legal documents.
  7. Review contracts, leases, and other legal documents; research legal issues and recommend revisions as necessary.
  8. Represent or oversee the representation of the organisation and top management in judicial and administrative proceedings, and in negotiations with other parties.
  9. Design, establish, and maintain an organizational structure and staffing to effectively accomplish the organisation's goals and objectives; oversee recruitment, training, supervision, and evaluation of staff in Legal and Secretarial Division.
  10. Select and retain outside counsel, as required, to obtain legal opinions or to handle claims and litigation.
  11. Maintain professional growth and development through seminars, workshops, and professional affiliations to keep abreast of latest developments in business law and in other related areas.

Secretarial:

  1. Facilitate and work with relevant parties responsible for preparing Directors’ Circular Resolutions, Minutes, Annual Reports and ensure all the documentations are approved by Management.
  2. Organise and coordinate Board of Directors’ Meetings and any other special or Extraordinary meetings, preparation of agenda, circulation of relevant board papers and producing minutes.
  3. Perform miscellaneous job-related duties as assigned by Head of Company.
  4. Provide legal, financial and/or strategic advice during and outside of meetings.
  5. Provide training and awareness to all directors and members of the senior leadership team on corporate governance matters.
  6. Keep up to date with any regulatory or statutory changes and policies that might affect the organisation.
  7. Provide support to the board or other committees on specific projects.
  8. Implement processes or systems to help ensure good management of the organisation or compliance with legislation.
  9. Advise the Board and Management on corporate secretarial matters in decision-making processes and disseminate decisions made to appropriate parties.

JOB SPECIFICATION:

  1. Acquired Bachelor of Laws (Honours) and admitted to the Bar.
  2. Chartered Secretary (registered under Malaysian Institute of Chartered Secretaries and Administrators (MAICSA)).
  3. At least 7 years of experience in corporate and commercial laws.
  4. Experience in Corporate Restructuring and Corporate & Commercial.
  5. Proven experience in a leadership role, preferably within a corporate legal context.
  6. Strong understanding of corporate governance principles and practices.
  7. Excellent negotiation, communication, and interpersonal skills.
  8. Proficient in English and Malay writing and communication skills.
  9. Good interpersonal skills.
  10. Computer / IT literate.
