Job Responsibilities:

  • Lead a team of staff in providing all aspects of corporate secretarial services for private and foreign companies, including but not limited to ensuring proper maintenance of statutory records, due submission of statutory returns, and compliance with statutory requirements under the Companies Act 1965.
  • Preparation of circular resolutions, minutes of Board, Committee, and General meetings.
  • Preparation of statutory forms, returns, and notifications in accordance with the requirements of the Companies Act 1965, Securities Commission Act, Stamp Act 1949, and other relevant authorities.
  • Organize and facilitate the proper conduct of Board, Committees, and General meetings.
  • Keep abreast of the latest developments and amendments of the Companies Act 1965, Securities Commission Act, Corporate Governance, and other relevant rules and regulations, and advise the Board, Committees, and management on compliance.
  • Preparation of the Annual report.
  • Advise the Board, Committee, and Management on corporate secretarial matters in decision-making processes and disseminate decisions made to appropriate parties as directed.
  • Involvement in corporate exercises such as fundraising, acquisition or disposal, joint ventures, and new ventures for both domestic and overseas businesses, including negotiation, vetting of legal documentation, and implementation.
  • Ensure necessary compliance with relevant laws and regulatory requirements.

Job Requirements:

  • ICSA qualification and a member of MAICSA.
  • Minimum 10 years working experience in company secretarial work with medium or large organizations, with a minimum of 8 years experience in a senior managerial position.
  • Familiarity with the Companies Act and other relevant laws and regulations.
  • Familiarity with corporate exercises such as fundraising, acquisition or disposal, joint ventures, and new ventures for both domestic and overseas businesses.
  • Possess leadership qualities and able to lead and guide subordinates.
  • Good interpersonal and communication skills.
  • Meticulous and able to work independently in a fast-paced working environment.
