Senior Executive, Legal and Secretarial Department

Responsibilities:

  • Assisting the HOD, Manager/ Assistant Manager in drafting, reviewing and negotiating the terms of any contracts and agreements (commercial, services, sale-purchase, lease, consultancy, non-disclosure agreements, employment, joint Venture, acquisitions, tenancies, sales and purchase of land/Properties etc.) and other legal documents for various requirement of the LPPSA, including assistance for the extension, amendment or termination drafted and vetted within time agreed.
  • Assist the HOD, Manager/ Assistant Manager to act as in-house counsel in rendering the appropriate legal advice arising out of daily operational matters and working closely with the Management and inter department within the time agreed.
  • Keeping up-to-date with relevant legislation and disseminate the information to relevant party within LPPSA.
  • Assist the HOD, Manager/ Assistant Manager in handling legal suit against LPPSA.
  • Assist HOD, Manager/ Assistant Manager in appointing LPPSA Panel of Solicitors for conveyancing and litigation.
  • Liaise with external lawyers on outsourcing legal matters.
  • Assist the Royal Malaysia Police (RMP) and the Malaysian Anti-Corruption Commission (MACC) in conducting any related matters pertaining to the Borrowers’ files.
  • Assist the Head, Manager and Assistant Manager in secretarial matters.
  • Provide in-house corporate secretarial services in managing internal management meetings in accordance with the applicable legislation and regulations.
  • Assist HOD, Manager/ Assistant Manager to organize, coordinate and attend Board/Committee/Management Meetings for LPPSA, record proceedings of such meetings and draft minutes accordingly.
  • Assist the Head/Assistant Manager in ensuring proper recording and accurate drafting of Minutes of meetings, meeting decision, and action items i.e. Board, Board Committees and Management.
  • Ensure preparation for meetings i.e. issuance of notice, compilation of meeting materials and other matters for the meetings to be conducted smoothly and effectively.
  • Assist the Head/Assistant Manager to organize, coordinate and attend Sub-Board/Committee/Management Meetings for LPPSA, record proceedings of such meetings and draft minutes accordingly.
  • Assist the Head/Assistant Manager in preparation of sub-board papers, circular resolutions, minutes of meetings documents and other relevant documents.
  • Maintain proper Minutes record and other required records and also to perform other secretarial functions.
  • Comply will all requirements for secretarial matters as per the LPPSA Act and adherence with good corporate governance and best practices in the field.
  • To ensure that the operation of LPPSA is in compliance with its Act (Act 767), regulations, internal policies, procedures and directives so as to protect the interest and reputation of the LPPSA with supervising minister, relevant authority body and to balance the needs of other stakeholders.
  • Perform other duties as and when required.

Qualifications:

  • Bachelor of Laws (LLB(Hons))

Years of Experience:

  • At least 5 years experience in conveyancing, banking, recovery. Having some experience in personal data protection law and some experience in secretarial matters would be an added advantage.
  • Experience of at least 5 years in legal practice especially in Litigation, Conveyancing, Banking, Recovery matters.
  • Have knowledge on Personal Data Protection Act 2010 [Act 709].
  • Experience in the implementation of Personal Data Protection Policy in organization, conduct Data Protection Impact Assessment (DPIA) would be an added advantage.
  • Experienced in handling secretarial matters particularly in drafting minutes of meeting, following up on matters arising and arranging the meeting dates with members of the meeting.
  • Good interpersonal skills to deal with external lawyers and borrowers.
  • Good team player.
  • Good communication skills in English and Bahasa Malaysia.
