OVERVIEW OF POSITION:
Responsible for providing high quality legal services to the company business in Malaysia with wider regional collaboration opportunities, as required (collectively "business"). Plays a significant role in helping the business identify, manage and mitigate various legal, compliance, regulatory and reputational risks. Provides legal support and advice to the business on a variety of commercial, operational, compliance, controllership, regulatory, corporate governance, execution and strategic issues in Malaysia. Also provides contract drafting, negotiation and legal support on international and domestic sales agreements and dispute minimisation and resolution advice in Malaysia and with Malaysia as place of execution.
Works with the Lead Counsel and Senior Counsel (both based in Singapore). Reports to the Senior Counsel. Required minimum on-site presence: 3 days per week.
ESSENTIAL FUNCTIONS (RESPONSIBILITIES):
- Providing legal services to the business in support of business priorities, on matters such as collaborations, commercial transactions, regulatory and licensing, compliance, investigations, trade controls, product liability and risk assessment, contract reviews, interpretation and dispute resolution as well as instructing and supporting onboarding of external providers, where required. Advising the business on the risks of possible business decisions and preventive legal counselling is a key part of the role.
- Legal services/support include the provision of day-to-day advice on transactions, documentation, developing/streamlining/compiling precedents/templates and marketing materials, virtual or in-person negotiation of contracts with external parties, employment issues and providing advice on claims questions and deal structuring.
- Providing research support to Lead and Senior Counsels for Malaysia and Singapore.
- Acting as liaison between local and overseas business stakeholders and external company secretarial providers for Malaysia and Singapore and, drafting simple resolutions, to meet statutory and/or internal deadlines, under guidance of Singapore-based Lead Counsel.
COMPLIANCE OBLIGATIONS:
Work in accordance with the company's Policies and Procedures, role modeling the company's values and high ethical standards consistent with the company's integrity requirements, including:
- Completing 100% of all assigned personal Compliance trainings by the required date(s).
Qualifications
- Law degree
- Malaysia (or recognised overseas equivalent) legal practitioner's practising certificate
Desired Experience
- At least 8-15 years' post qualification experience in law, ideally gained in a major law firm and solid in-house environment
- Solid experience in commercial and general contract/corporate law, ideally in a healthcare setting
- Some experience in MY public and private Tender/Contract reviews
- Some experience in providing dispute minimisation and resolution advice
- Some experience in providing strategic advice to senior management on technical issues and compliance matters
- Some experience in template development
- Some experience in working with channel partners and other indirect third parties
- Some familiarity with Competition law & regulation would be good
