Responsibilities

  1. Prepare and manage legal documents, evidence and maintain case files in collaboration with third-party lawyers and law firms.
  2. Coordinate the preparation and submission of legal documentation to governmental agencies (e.g., application for chemical licenses, trademark registration, export/import certificate extension, etc.).
  3. Well-organized filing of legal documents, licenses/permits/approval in hard and soft copy and maintain confidentiality and privacy of such documents.
  4. Debt Settlement & Legal Action

  5. Assist in the negotiation and settlement of outstanding debt agreements with Sales team or F&A.
  6. Analyze cases to determine when legal action is required, such as issuing lawyer notices or prosecuting civil cases for overdue payments.
  7. Assist F&A team to oversee & assess on bad debt collection cases then advise appropriate actions to ensure effective and successful collection method including issue notice/reminder letter to debtor, participate in debt settlement negotiation process and draw up debt settlement contract, or coordinate with external counsel to proceed litigation process.
  8. Contract Management

  9. Review, analyze, prepare, and summarize reports from a legal perspective, including business cooperation agreements and rental contracts (office, accommodation, vehicle, etc.).
  10. Draft, review, and support negotiation contracts, agreements, and other legal documents as required and ensure its compliance and practicable with existing laws and business environment.
  11. Maintain an organized system for contract management and compliance tracking.
  12. Internal Audit Support

  13. Coordinate with HQ- IA team to follow up with local team for the update and planning for auditing schedule.
  14. Support HQ-IA with monthly follow-up reports (if any or until all audit observations are fully mitigated and cleared).
  15. Develop/monitor the company internal policies/SOP and its implementation to ensure its alignment with TOA Group Corporate Governance and Code of Conduct, Delegation of Authority “DOA”, policy, procedure, etc.
  16. Regulatory Compliance & Government Relations

  17. Ensure compliance with local and international laws and regulations by implementing relevant rules and regulations.
  18. Establish and maintain strong relationships with government bodies Ministry of Home Affairs, and Ministry of Industry to ensure compliance with legal requirements (e.g., quarterly reports on chemical licenses).
  19. Monitor and stay updated on changes in legislation and advise management on necessary actions.
  20. Keep abreast of regulatory registration including registration process flow, checklist application, fee, timeline, etc.
  21. Monitor the company’s risk assessment process (e.g., Industrial All Risk insurance) and government instructions for all matters related to risk management.
  22. Identify potential legal risks in business practices and provide recommendations for mitigation.
  23. Reporting & Performance Tracking

  24. Provide monthly reports on legal matters, performance, and risk management to the Management.
  25. Present legal updates, highlight potential risks, and recommend actions to address them.
  26. Conduct training sessions for employees on legal compliance, best practices, and updates on industry trends and legal developments.

Qualifications

Education

  1. Bachelor of Laws (LLB or equivalent) from an accredited university.

Experience

  1. 2-4 years of professional legal experience, preferably in a corporate or business environment in Malaysia.
  2. Previous experience in contract drafting, negotiation, and legal compliance is highly desirable.
  3. Familiarity with local laws and regulations including labour law, environmental law, and corporate governance.

Skills

  1. Strong understanding of Malaysian legal frameworks and government regulations.
  2. Excellent communication skills (both written and verbal) in English and Bahasa Malaysia.
  3. Ability to work with local staff and coordinate effectively with Headquarters.
  4. Strong organizational skills with the ability to manage multiple tasks and prioritize effectively.
  5. Attention to detail and the ability to analyze complex legal matters.

Technical Proficiency

  1. Proficient in Microsoft Office Suite (Word, Excel, PowerPoint).
  2. Familiarity with legal software tools for contract management and compliance tracking is an advantage.

Legal Expertise

  1. Strong foundation in Malaysian law, corporate governance, and compliance.

Negotiation Skills

  1. Ability to negotiate effectively, ensuring favourable outcomes for the company.

Regulatory Knowledge

  1. Familiarity with Malaysian government agencies and their legal requirements.

Risk Management

  1. Expertise in identifying legal risks and implementing mitigation strategies.

Communication & Reporting

  1. Ability to present complex legal issues clearly and concisely to non-legal stakeholders.
