Role Overview

Vanice is seeking an experienced Corporate Secretarial Executive to join our Malaysia team. This is a unique opportunity to join an early-stage initiative within a growing company, with potential to advance into leadership or partnership roles as the business expands.

As a Corporate Secretarial Executive, you will deliver comprehensive corporate secretarial services, ensure compliance with Malaysia’s regulatory requirements, and provide advisory support to a diverse client portfolio.

Key Responsibilities

Corporate Secretarial Duties:

  1. Manage the full spectrum of corporate secretarial functions for Malaysia-registered companies.
  2. Prepare and file statutory documents with ACRA, MOM, and other relevant authorities.
  3. Maintain statutory registers, minute books, and corporate records.
  4. Draft resolutions, meeting minutes, and other corporate secretarial documents.

Client Engagement:

  1. Act as the primary contact for assigned clients, advising on corporate secretarial and compliance matters.
  2. Manage company incorporations, corporate restructuring, and cessation processes.
  3. Respond to client inquiries related to regulatory requirements and statutory obligations.

Compliance and Reporting:

  1. Ensure compliance with statutory filing deadlines, including annual returns and AGMs.
  2. Monitor regulatory updates and ensure timely communication to clients.

Advisory Services:

  1. Support clients with EP and PR applications.
  2. Provide advice on corporate governance, M&A, and investment-related processes.

Collaboration and Process Improvement:

  1. Work with internal teams to ensure seamless delivery of services.
  2. Contribute insights to enhance Vanice’s processes and technology solutions for corporate secretarial services.

Key Qualifications

  1. Educational Background: Diploma/Degree in Business Administration, Corporate Governance, Law, or a related field.
  2. Professional Experience: At least 2 years of corporate secretarial experience in Malaysia.
  3. Familiarity with ACRA’s BizFile+ system and statutory compliance requirements.
  4. Certifications: Chartered Secretary (SAICSA/CSIS) or equivalent professional qualifications preferred.
  5. Skills: Strong knowledge of the Malaysia Companies Act and regulatory frameworks.
  6. Excellent written and verbal communication skills.
  7. Proficiency in Microsoft Office Suite and corporate secretarial software.
  8. Meticulous, organized, and able to manage multiple tasks and deadlines effectively.
