Job description

We are seeking an experienced and detail-oriented Corporate Legal Manager to oversee and manage the company’s legal operations. The ideal candidate will ensure compliance with legal regulations, mitigate risks, and provide strategic legal guidance to the organization. This role involves drafting and reviewing contracts, managing regulatory compliance, and supporting corporate governance while protecting the company’s interests.

Key Responsibilities

1. Legal Compliance and Governance

  • Ensure the organization complies with all applicable laws, regulations, and internal policies.
  • Monitor and communicate changes in legal and regulatory requirements affecting the business.
  • Support corporate governance by managing board documentation, shareholder meetings, and legal filings.

2. Contract Management

  • Draft, review, and negotiate a wide range of contracts, including vendor agreements, service contracts, employment agreements, and lease agreements.
  • Ensure all contracts are legally sound, mitigate risks, and align with business objectives.
  • Maintain a centralized and organized contract repository for easy tracking and access.

3. Risk Management and Mitigation

  • Identify potential legal risks in business operations and develop strategies to mitigate them.
  • Provide advice on regulatory risks, compliance issues, and ethical considerations.
  • Manage the company’s insurance policies and ensure appropriate risk coverage.

4. Litigation and Dispute Resolution

  • Handle pre-litigation and litigation matters, coordinating with external counsel when necessary.
  • Develop and execute strategies for resolving disputes through mediation, arbitration, or court proceedings.
  • Represent the company in legal proceedings when required.

5. Employment Law and Labor Relations

  • Advise on employment law matters, including workplace policies, contracts, and compliance with labor regulations.
  • Address employee grievances, terminations, and dispute resolutions in accordance with applicable laws.

6. Intellectual Property Management

  • Manage the registration, protection, and enforcement of the company’s intellectual property rights (trademarks, copyrights, patents, etc.).
  • Handle licensing agreements and resolve IP-related disputes.

7. External Counsel Management

  • Coordinate with external legal counsel for specialized or complex cases.
  • Monitor legal budgets and ensure cost-effective legal solutions.
  • Evaluate and select external legal service providers as needed.

8. Corporate Social Responsibility and Ethics

  • Ensure the company’s activities comply with ethical standards and corporate social responsibility policies.
  • Develop and implement internal training programs on legal compliance, workplace ethics, and risk management.

9. Advisory Support

  • Provide legal advice to management and departments on operational, strategic, and day-to-day issues.
  • Support mergers, acquisitions, and strategic alliances by conducting due diligence and reviewing related agreements.
  • Collaborate with cross-functional teams to align legal strategies with business objectives.

10. Others

  • Other ad hoc tasks as may be assigned by management from time to time.

Qualifications

  • Bachelor’s degree in Law (LLB) or equivalent; a Master’s degree (LLM) is a plus.
  • Admitted to practice law in the relevant jurisdiction.
  • Minimum of 6 years of experience in corporate law, regulatory compliance, or a similar legal role.
  • Strong understanding of contract law, labor law, corporate governance, and industry-specific regulations.
  • Proven experience in drafting and negotiating contracts and managing legal risks.
  • Exceptional analytical and problem-solving skills.
  • Strong communication and interpersonal skills with the ability to explain legal concepts to non-legal stakeholders.
  • Proficiency in legal research tools and software.
  • High level of integrity and ethical standards.
  • Ability to work independently and collaboratively.
  • Strong organizational and time-management skills.
  • Proactive and solution-oriented mindset.
