Position: Corporate Company Secretary
Salary: RM 16000-20000
Location: Bandar Bukit Jalil, WP Kuala Lumpur

About the hiring company
Our client is a professional corporate consulting entity, providing a full spectrum of secretarial services to several listed companies and groups of highly successful businesses in Malaysia. Due to expansion and restructuring in recent times, they need to build a strong company secretarial team to ensure company compliance and champion corporate governance matters. With the business undergoing rapid expansion, they are currently seeking a professional ICSA graduate to assume the role of Corporate Company Secretary based at their corporate head office at Bandar Bukit Jalil, WP Kuala Lumpur.

Role & Responsibilities
Reporting to the head of Group Company Secretary, your role will include the following:

  1. Responsible for managing a team of corporate secretarial staff in all aspects of company secretarial functions, including:
  2. Preparation and review of resolutions and documents for lodgement at the relevant authorities and monitor compliance with submission deadlines.
  3. Advise or guide clients on policies, processes, and statutory issues.
  4. Liaise with Companies Commissions of Malaysia, Bursa Malaysia, Securities Commission, and all other relevant authorities in connection with company secretarial matters and alert clients on regulatory updates.
  5. Maintain and update the statutory books and records in compliance with the Companies Act, 2016 and other regulatory requirements such as Bursa Malaysia's Listing Requirements.
  6. Attend Board meetings, Annual General Meetings, EGMs as required, and undertake preparation of meeting notices, agendas, and minutes.
  7. Update and maintain relevant statutory records and documents.

Candidate Profile & Requirements

  • Female preferred in age group 30-45.
  • ICSA qualified.
  • An Associate member of MAICSA or Licensed Secretary.
  • A minimum of 10 years experience in corporate secretarial functions in commercial companies or medium to large secretarial service providers.
  • Possess a good knowledge of Listing Requirements, Companies Act, Capital Market and Securities Act, and other statutory requirements, securities, and business rules and regulations that are related to corporate secretarial functions.
  • Experience in administering corporate services to both private and public listed companies corporate entities.
  • Experience in undertaking corporate exercises such as rights issues, ESOS, and share buybacks would be advantageous.
  • Good understanding of due diligence and compliance measures of SC and Bursa Malaysia.
  • Strong command of spoken and written English and business writing skills.
