About Our Client

We are honored to partner with a prestigious multinational natural resources company with a well-established global presence and a distinguished reputation in mining, including coal and nickel, as well as palm oil plantations and trading. We are currently seeking an accomplished Senior Legal Counsel to join their esteemed legal team, reporting directly to the Global Legal Team Lead.

Job Description

The successful candidate must demonstrate proven expertise in corporate and regulatory legal matters within the mining industry, experience in handling complex transactions, compliance, and risk management, as well as stakeholder management capabilities. Given the international scope of the role and the reporting structure, fluency in English is essential.

• Corporate & Regulatory Expertise: Provide legal guidance on corporate governance, regulatory compliance, and industry-specific legal requirements in the mining sector.
• Mergers & Acquisitions (M&A): Lead and manage end-to-end M&A transactions, including due diligence, deal structuring, negotiation, drafting, and execution of agreements.
• Complex Transactions: Advise on joint ventures, strategic partnerships, and asset acquisitions/disposals to support business growth.
• Compliance & Risk Management: Ensure adherence to mining regulations, environmental laws, and corporate policies, mitigating legal and financial risks.
• Stakeholder Management: Collaborate with internal and external stakeholders, including regulatory authorities, investors, and business partners, to facilitate seamless transactions.
• Board Advisory: Provide strategic legal insights to the Board of Directors on expansion opportunities, corporate restructuring, and investment strategies.

The Successful Applicant

• Educational Background: Graduate from an overseas or top-tier university with a strong academic foundation in law.
• Professional Experience: Minimum of eight years of experience in the mining sector, with a combination of in-house legal counsel and private practice roles.
• Operational Legal Expertise: Strong ability to handle legal matters related to daily operations, regulatory compliance, and corporate governance across multiple entities under the holding structure.
• Corporate Actions & Investments: Experience in managing corporate transactions, including capital investments, joint ventures, and restructuring initiatives to support business consolidation.
• Dispute Resolution & Risk Mitigation: Skilled in assessing and managing legal risks, mitigating disputes, and handling litigation strategies when necessary.
