JOB OVERVIEW
The Legal Counsel will be part of the Legal Department of Thales international division, supporting all Thales businesses in Southeast Asia and Taiwan (the “Regions”) and in particular Mobile and Connectivity Solutions activity.
LOCATION
The Job holder will be based on a full time basis in the offices located in Jakarta. She/he may however have to travel regularly to the regional office in Singapore and from time to time in the countries of the Regions on a need basis.
OPERATIONAL CONTEXT
Thales has been present and has grown from strength to strength in the Asian region for over 50 years, providing state-of-the-art solutions for customers in the avionics, secure communications and information systems, defense mission systems and strategy, research and technology, and digital security domains.
In this context, the Job holder will have a key role in the development and management of this regional business organization, working closely and regularly with various competences at senior levels, including without limitation Country Directors, Key Account Managers, Business Line Managers, Procurement Manager, Finance Manager, etc.
Regional business activities are driven by a dynamic demand characterized by a fast business environment, sharp competition and rapidly growing customers’ requirements in terms of quality, systems products and services sophistication, delivery time and prices, industrial cooperation and financing schemes. Customers, in the private and public sectors, are very diversified and include ministries, municipalities, telecommunication operators, bank & enterprise, oil & gas, airport, airlines, civil works domains, etc.
Business activities in the Regions are conducted through local presence of dedicated team and organizations (representative offices, branches, subsidiaries and JVs).
MAIN RESPONSIBILITIES
The Job holder will address the activities of all the aforementioned organizations and will be mainly dedicated to Mobile and Connectivity Solutions activities for the Digital Identity and Security business unit by (i) supporting bids and projects team with respect to commercial contracts and contract management and (ii) ensuring proper implementation of compliance and governance policies.
Support to Bids & Projects, Commercial Contracts & Contract Management
- Draft, negotiate, structure, implement, manage and monitor a wide variety of commercial agreements, including, but not limited to, sale side and buy side agreements, licensing agreements, master services agreements, partner agreements (including distributors and resellers), statements of work, RFP responses, tender submission preparation and supporting documents all in line with Thales’ policies and procedures;
- Provide hands-on advice on legal and commercial affairs: Identify and analyze legal issues, drafting key documents and presenting clear synthesis and recommendations;
- Work closely with the business, operational and technical functions in elaborating relevant legal and contractual solutions in all business relationships, in identifying contractual, legal and compliance stakes so that risks are detected, measured and mitigated, in ensuring that contractual commitments comply with applicable laws and regulations;
- Prepare all documents related to Bids & Projects in line with the applicable review and approval process (i.e. Bids and Offers approval rules, Delegated Authority rules, …);
- Provide country legal intelligence and knowledge to the relevant business activity regional stakeholders;
- Support the Procurement function in the negotiations with suppliers/subcontractors by ensuring appropriate flow-down of terms and conditions to the supply chain;
- Review, update, customize the contract templates issued by the Business Line, as per the applicable local law and as necessary;
- Manage disputes and claims in coordination with the involved stakeholders, relying on local law firms and in closed coordination with the Corporate Dispute Resolution & Litigation team, as applicable;
- Interface with external counsels for analysis and management of specific legal issues in the framework of complex contractual and/or legal arrangements or claim/litigation procedures in the region on a need-basis;
- Advise operational teams of contractual rights and obligations and provide interpretation of terms and conditions.
Compliance & Governance
The Jobholder will also be a key player in the implementation of the Ethics & Compliance standards of Thales Group and, as such, will contribute to the evolution of its organization as well as its way of working in order to take into consideration the evolutions of its environment, new laws & regulations, and the best ethical and governance practices.
The Jobholder will be responsible to actively contribute to the implementation of Thales Group ethics & compliance standards in the Regions and as such, will be in charge, in particular, of the following:
- Perform, analyze, implement and update the screening and due diligence files of any Third Party with whom Thales wishes to enter into a contractual relationship, in close coordination with the competent Compliance Officer as well as all the other relevant stakeholders (i.e. business capture leaders, country directors, and all relevant local functions and concerned Thales business units) in accordance with the applicable Third Party Integrity Assessment Instruction;
- Actively contribute and participate to the deployment throughout the Regions of the anti-corruption, ethics & compliance communication and training plan, i.e. code of conduct, gifts and hospitality instruction, community investment, sponsorship, corporate membership instruction, compliance tools and platforms deployment, etc.
- With the support of the Compliance Officer, assist in the deployment and implementation of the other Group compliance pillars’ programs (Trade Compliance, Anti-trust and Competition laws, Personal Data Protection) in the Regions
- Report to the Compliance Officer any identified situations of non-compliance which would require the definition of a corrective action plan and/or a reporting to Chief Compliance Officer and VP Legal & Contract of TNSEA
- Assist in addressing the internal control requirements, the audit reviews, corporate law, governance and compliance aspects for all the entities falling with the Regions scope
REPORTING LINE
The Jobholder will report directly to the Legal & Contract Director/Compliance Officer of Southeast Asia & Taiwan and will be part of the Thales International legal & contract team.
BACKGROUND & SKILLS
- At least a Master’s degree in Law
- +10 years professional experience as in-house lawyer providing support to business with an expertise in Commercial law, Corporate law and compliance matters in an international environment and preferably in the digital technologies
- Perfect command of English language, verbal and written (Mandatory)
- Ability to draft and negotiate in Mandarin Chinese language
- Strong analytical skills particularly on critical thinking, problem solving and logic, reliable, rigorous, precise, organized, pro-active, strong team player, solutions and business oriented
- Good and effective communication skills as well as good inter-personal and inter-cultural awareness and interest to work in diverse teams
- Highest degree of professional ethics and personal integrity
- Ability to work effectively in fast-paced commercial environment within a matrix organization.
- Proficient with the use of software tools (word, excel, power-point)
