Head of Corporate Legal

Responsibilities:

• Provide legal representation to the Company, support the work of the Company and manage the full range of legal strategies and responsibilities for Aice Group legal entities in various jurisdictions.
• Set the strategy and goals for the Legal team in alignment with the larger Company goals.
• Oversee the legal aspects of board meetings, shareholder meetings, and corporate filings.
• Oversee the drafting, negotiation, and review of contracts, including supplier, customer, and partnership agreements. Ensure contract terms comply with applicable laws and mitigate legal risks.
• Manage all legal disputes and litigation, including coordinating with external counsel and managing the company’s defense or claims.
• Develop strategies to minimize litigation risks and resolve disputes efficiently.
• Oversee the protection of the company’s intellectual property (trademarks, patents, trade secrets).
• Ensure the company complies with local and international laws, including those relating to consumer protection, health and safety, labor laws, and environmental regulations.
• Provide legal counsel on structuring and executing corporate actions.
• Collaborate and build the synergy to all departments of the Company to determine legal processes, recommend procedural or policy changes to improve operations efficiency, and implement the processes.
• Develop and provide training on legal issues, processes and policies to multi-level audiences in all departments.
• Develop and manage the legal department budget.

Key Qualifications:

• Bachelor's Degree in Law, holder of Advocate License.
• Minimum 10 years legal experience, preferably from FMCG Industry (manufacturing food or beverages).
• Experience in handling corporate actions, especially in Initial Public Offering (IPO) company registration and Merger & Acquisitions (M&A).
• Good understanding of corporate actions, international and national trade, mediation, arbitration, legal compliance and litigation.
• Experience advising senior management.
• Strong analytical skills and demonstrated ability to understand complex legal concepts and analysis, and translate those to non-lawyers to create practical processes, guidance and training.
• Strong project management skills with attention to detail and accuracy.
• Strong teamwork and client service skills; experience exercising influence and managing change while having an open and inclusive tone; solution-oriented.
• Demonstrated ability to work in a fast-paced, growth-oriented global or regional organization.
• Comfort with ambiguity and the ability to work through challenging situations.
• Fluent in English is a must (and Chinese would be an advantage).
• Willing to be placed in Pantai Indah Kapuk, North Jakarta.
