Description

The Board of Cifas comprises a two-tier corporate governance model consisting of a Board and an Advisory Board. The Board, consisting of six members - five Non-Executive Directors (including the Chair and Senior Independent Director) and the Chief Executive Officer - is responsible for the entrepreneurial leadership of the organisation: setting strategic direction and aims and measuring performance against strategic objectives as well as scrutinising risks and controls.

The Advisory Board, consisting of up to ten members, is principally responsible for monitoring the organisation's relationships with its members and other stakeholders and monitoring the effectiveness of Cifas's core business: reducing fraud and financial crime risk. In so doing, the Advisory Board reports to the Board.

Cifas has set itself challenging and ambitious goals for 2025-30 not just in terms of effectiveness of its fraud and financial crime prevention services, but also with regard to diversification of its offer to new sectors. In addition, it has an increasing role in helping to reduce the fraud risk for the citizen.

As a Board, Cifas is now looking for a Non-Executive Director that, in sum, has current (or very recent) experience in business/commerce and technology. Experience at CTO level would be ideal. Previous/current NED experience would be helpful but not essential.

Key Responsibilities

  • To set the strategic aims and direction for the organisation.
  • To scrutinise the performance of the Executive of Cifas in meeting and delivering agreed objectives, and to monitor the reporting of performance.
  • To help identify opportunities for growth and development.
  • To determine and monitor risks (including competitors) and ensure that the systems of risk management are defensible.
  • To interrogate the integrity of financial information and ensure that financial controls are robust.
  • To ensure that all other internal controls are effective (from physical, personnel and cyber through to compliance, legal and fiduciary).
  • To provide strategic oversight on the company's technology strategy and innovation initiatives.
  • To oversee the Advisory Board and its work.
  • To assist in the appointment of Executive Directors as appropriate.
Profile

A Non-Executive Director on the Cifas Board is likely to be an exceptional individual with relevant expertise to influence, shape and drive forward Cifas during 2025 and beyond. The successful candidate will need a track record of strategic leadership at board level in a prominent organisation.

Cifas expects the successful candidate to also bring sound judgement and an inquiring mind, the ability to question intelligently, debate constructively, challenge rigorously, decide dispassionately and listen sensitively.

In addition, the successful candidate will have strong communications skills, with the ability to influence high-level stakeholders in government and business, and the media.

Commitment

The total time commitment for a Cifas Non-Executive Director is expected to amount to no more than 22 days per annum. In addition, Cifas holds a number of other events during the year to which Non-Executive Directors are invited and expected to attend.

Cifas Non-Executive Directors can be based anywhere in the UK, with meetings taking place in the London office, near Euston.
