About the Role & Team:
The Governance Assistant will be responsible for assisting the Company Secretary in overseeing the governance framework of the UK Group, ensuring that management team and the board run the business legally, ethically, sustainably and successfully in line with the strategic objectives, for the benefit of stakeholders (including shareholders, staff, clients and customers), and for the good of the wider society.
Key Responsibilities:
Company Secretarial
- Assisting with the updating of the suite of corporate governance documents and tools (eg, internal governance codes and frameworks).
- Assisting the Company Secretary with the company secretarial requirements of all 40+ London Square entities (including Hong Kong Entity, Resident Management Companies and JVs), and ensuring that all Company Secretarial tasks are fulfilled.
- Maintaining accurate corporate structure.
- Assisting all departments in the implementation of the operational best practices, consistent with the policies and procedures determined by the Parent Company.
- Assisting with the preparation of Board and Committee reports.
Compliance Responsibilities- Administering the execution of contractual documentation across all group entities through ensuring that all agreements are executed within the signing authorities.
- Maintaining the Legal Database of the UK Group.
- Addressing enquiries on Know Your Customer / Client Due Diligence and Anti Money Laundering checks.
- Maintaining all group bank accounts (e.g. registering and de-registering, authorised signatories, online registration, etc.).
- Providing necessary support to policy holders to safeguard compliance with the latest legislation and within the parameters of the Parent Company.
- Maintaining the annual ICO registration for all relevant entities within the UK Group.
- Maintaining the Trademarks Register and assisting with trademarks registrations and renewals.
- Assisting with the annual renewal of Copyrights.
Corporate Risk- Assisting with the maintenance of the Corporate Risk Register through regular liaison with other departments.
- Assisting with the preparation of quarterly risk reports for Board review.
Key Skills & Experience:- Process and detail orientated, with acute attention to detail.
- Good interpersonal and communication skills.
- Ability to work independently.
- Multitasking, including organisational and judgment skills.
- Shows high standards of personal and professional integrity.
- Excellent MS Office skills.
- Ideally some experience in company secretarial work or a regulated environment but not essential.
