Job description

The Compliance Manager, reporting to the Finance Director-FP&A and Compliance, is responsible for legal and regulatory compliance, contract review, risk management, insurance, and company secretarial activities. This role involves high proficiency in some soft skills such as communication, organizational abilities, and strong interpersonal skills, as it involves liaising with different stakeholders, internally and externally across Hong Kong and the Philippines. This role is a key driver of high-quality corporate governance, including risk management and internal audit matters.

Responsibilities

Legal & Regulatory Compliance

  • Responsible for legal and regulatory compliance. Support management in ensuring legal and corporate compliance in Hong Kong & Macau e.g. Competition Ordinance, PCPD, etc.
  • Plan and execute compliance activities. Maintain a register to monitor & report requirements. Advise on legal and regulatory matters to support the growth of business.
  • Act as company secretary & responsible for related activities.
  • Act as a focal point for legal and regulatory matters with in-house or external lawyers.

Corporate Governance

  • Accountable for assurance activities to uphold high standards of corporate governance.
  • Ensure compliance with legislative/regulatory requirements and company Code of Conduct.
  • Lead and support risk management activities, e.g. maintain a robust risk register, manage insurance renewal processes, coordinate claims reporting procedures with insurers.
  • Support internal audit & control review activities to monitor control effectiveness. Follow up on improvement actions.

Contract Management and Business Partnering

  • Develop good practices in commercial contract management. Review and propose appropriate terms & conditions to safeguard company interests.
  • Support delivery of business targets, strategies, and plans.
  • Support management on any projects and ad-hoc requirements to improve business returns and productivity.
  • Provide legal support on ad-hoc projects.

Required Qualifications, Capabilities, and Skills

  • University bachelor’s degree in law or related field.
  • Minimum 8 years of relevant experience.
  • Prior experience as compliance manager, legal manager, or a similar role in a sizable organization.
  • Legal/company secretarial qualification is an advantage.

  • Strong background in corporate governance-related matters.
  • Ability to understand, interpret, and compile guidelines. Work across functions and ensure colleagues understand and comply with these guidelines and framework.
  • Strong leadership skills. Motivation to deliver improvements. Understand the big picture and help others to visualize it.
  • Excellent communication and interpersonal skills to deal with different stakeholders effectively. Know the right questions to ask to ensure understanding and enable challenge.
  • A “can do” attitude and willingness to go the extra mile.
  • Proficient in English and Cantonese, both in writing and speaking.
