Job description

Assistant Company Secretary - NSM Funds (London)

With continued growth across the NSM Group, we are looking for an Assistant Company Secretary to join NSM Funds (UK) Limited, based in London, where we provide bespoke fund administration services to an array of sectors and fund structures, across multiple jurisdictions.

About the Role

This is a full-time position based in our London office, involving significant client contact at board level and with senior members of staff. The role requires close collaboration with the Associate Director to ensure the highest standards of client service.

Job Accountabilities
  • Arranging and attending client board & shareholder meetings.
  • Preparation and distribution of board packs in advance of meetings.
  • Liaising with Directors, Brokers, Investment Advisors, and Shareholders for meetings and resolutions.
  • Drafting minutes for board and shareholder meetings.
  • Making statutory filings and regulatory announcements on behalf of clients.
  • Maintaining statutory records of client entities.
  • Ensuring compliance with Articles of Association, regulatory requirements, and stock exchange obligations.
  • Managing corporate reporting schedules and meeting coordination.
  • Coordinating the production of annual and interim financial reports.
  • Drafting corporate governance reports for board meetings.
Minimum Experience & Education
  • Desirable experience in the London listed funds sector (investment trusts, REITs, VCTs).
  • Working towards a CGI qualification with some relevant company secretarial experience is advantageous.
Specialist Skills Required
  • Commitment to a career in Company Secretarial and eagerness to develop within the role.
  • Understanding of company secretarial aspects for listed companies on the London Stock Exchange.
  • Familiarity with regulations such as DTR, Listing Rules, and MAR applicable to funds.
  • Basic knowledge of stock exchange listing rules in London or other jurisdictions.
  • Excellent organisational and time management skills.
  • Proficiency in Microsoft Office.
  • Experience using board communication portals like Diligent and Board Intelligence.
  • Strong written and verbal communication skills.
