What you’ll be doing

  1. Advising the Board, ExCo and others on process and corporate governance, providing support as necessary
  2. Arranging Board/Board Committee meetings, including production & maintenance of forward planner, drafting agendas, circulation of papers, preparing minutes
  3. Drafting corporate governance section of the annual report, AGM notice and participating in the drafting and publication of eg interim and preliminary announcements and interim management statements
  4. Organising general shareholder meetings, including the AGM as required
  5. Providing support during corporate actions (eg rights issues, capital reorganisations; other transactions)
  6. Monitoring changes in relevant legislation and the regulatory environment impacting on corporate governance, taking appropriate action and advising the Board accordingly
  7. Liaising with, and taking advice from, the company’s brokers on Listing Rule matters and the Group’s legal advisers where appropriate
  8. Manager to other team members

About You

What you’ll bring to the team

  1. Management, Communication, Attention to detail, Minute taking, Organisational and time management
  2. Ability to work independently and in a team on complex issues
  3. Prior experience of working in a Company Secretariat role in a financial services/regulated company. Listed company experience is preferred but not essential
  4. Ability to interpret internal or external business issues and recommend solutions/best practice
  5. Qualifications: Member of the Corporate Governance Institute

Working hours

Monday to Friday – hybrid role.
