Job Title: Deal Contingent Structurer (Legal Mergers & Acquisitions (M&A) focus)

Location: London

As a Structurer in the Event Driven team, you will be engaged in evaluating Mergers & Acquisitions (M&A) deals and other major corporate transactions and structuring, pricing, risk managing, and documenting derivatives products offered to customers engaged in those transactions.

Your key responsibilities:
  • Responsible for all aspects of structuring event driven hedges, in cooperation with broader foreign exchange (FX) and Rates structuring team.
  • Evaluating M&A deals and other major corporate transactions, providing input to internal stakeholders including the Deal Contingent Committee.
  • Acting as a key contact point for event driven hedges, coordinating work of local teams across Europe, Middle East, and Africa (EMEA), Americas and Asia.
  • Responsible for the commercial aspects of negotiating and documenting event driven hedges, in cooperation with internal and external counsel.
  • Developing and implementing innovative hedge products to address event driven hedging needs of the Bank's customers.

Your skills and experience:
  • Post Qualification Private Practice Experience in a Corporate M&A team with cross-border M&A experience.
  • Experience in the M&A space including close familiarity with the legal structure/documentation of and legal and commercial risk factors affecting M&A deals.
  • Legal drafting skills.
  • Familiarity with derivatives documentation is helpful although not a must.
  • Experience of instructing and managing external counsel.
  • Excellent analytical skills and ability to formulate clearly and present information in a compelling manner; comfortable dealing with senior management.
