Corporate Commercial Associate Solicitor / Junior Partner - Northampton

BCL Legal is working with a leading law firm in Northampton to recruit an experienced Corporate Commercial Solicitor. This is an excellent opportunity for a Senior Solicitor or Junior Partner with at least 7 years PQE to join a dynamic, award-winning team, recognised for its expertise and client service across a wide range of corporate and commercial legal matters.

This firm, which is one of the largest and most established commercial teams in Northamptonshire, has developed a thriving practice that serves a diverse client base, including local, regional, and national businesses. With an active and growing market in this region, the firm offers significant opportunities for ambitious lawyers looking to take the next step in their career.

Role Overview:

The successful candidate will join a high-performing Corporate Commercial team, advising clients on a broad spectrum of corporate matters. You will play a key role in providing strategic legal support to businesses, from start-ups to established corporations, on complex legal issues and commercial matters. Your caseload will include a variety of corporate and commercial transactions, including mergers, acquisitions, and disposals, as well as advising on corporate structures, growth strategies, and governance issues.

Key responsibilities include:

Mergers, acquisitions, and disposals
Succession planning and employee share schemes, including EMIs, EBTs, and EOTs
Restructuring, demergers, and corporate governance
Drafting and advising on commercial contracts, partnership agreements, and franchise agreements
Negotiating finance and governance documents, including shareholders agreements and articles of association
Supporting clients with strategic corporate matters, including mergers, joint ventures, and growth strategies
Supervising junior members of the team and collaborating closely with colleagues across different disciplines

Quality of Work:

This role offers the chance to work on a broad range of high-quality corporate commercial matters. You will be involved in complex mergers and acquisitions, working closely with clients on strategic growth initiatives, advising on employee share schemes, and negotiating major commercial contracts. Ideal Candidate:

The firm is seeking a confident and experienced solicitor with at least 7 years PQE in corporate and commercial law. The ideal candidate will have:

A broad understanding of the commercial and legal needs of corporate clients
Experience in advising on mergers, acquisitions, corporate structures, and governance
Strong experience in advising on employee share schemes, restructuring, and de-mergers
Excellent drafting, negotiating, and analytical skills
A commercial mindset with entrepreneurial instincts and an ability to drive business development
A track record of building and maintaining strong client relationships
A collaborative approach to working with colleagues across different disciplines
