Job Overview

The GCS function is responsible for maintaining effective corporate governance and the smooth running of all the Boards and Board Committees across the Group, including the main Standard Chartered PLC Board. It is a key function within Standard Chartered and has high visibility across the senior leadership of the Group.

More than 100 people work exclusively or spend a considerable part of their time working in GCS. The role will be responsible for raising awareness of applicable corporate governance rules across the function and the creation of SMEs to assist with implementation and further development. It will also require significant contact with members of our Boards.

The successful candidate will play a key role in ensuring that the Group is well prepared to address and implement its corporate governance obligations across the Group. This is a good opportunity to make a positive change to the Group, enhance its reputation and improve the efficiency of our Boards and governance.

The sources of corporate governance are numerous, including legislation, regulations, codes, listing and disclosure rules, rules set by regulators, proxy agencies (who advise our shareholders) and our shareholders. They arise principally in the UK though our international markets are also active. Early consideration, by the relevant stakeholders, and adoption are essential for the smooth running of the business and its reputation for applying the highest standards.

Key Responsibilities

  1. Portfolio management of certain UK or other subsidiary companies, preparation and review of minutes, meeting logistics, statutory filings, and maintenance of company information on Blueprint OneWorld. Where applicable, supporting in the liquidation process of any of the entities in their portfolio.
  2. Working closely with the company secretarial team in SC Ventures to understand the pipeline of new venture entities in order to assess and plan for their impact on UK subsidiary companies in terms of future board approvals, share subscriptions, entity incorporations etc.
  3. Working with the Company Secretarial Assistant, Subsidiary Governance to review and collate information required in connection with the regulatory filings for overseas branches of Standard Chartered Bank (incl. accounts, director changes and quarterly submissions).
  4. Owning and maintaining the Group corporate action tracker and ensuring effective communication with the Data Governance team so that all corporate changes are recorded correctly on Blueprint.
  5. Reviewing and providing company secretarial input into the Changes to Group Corporate Structure Forms, Corporate Action Approval Forms and Capital Adjustment Application Forms in preparation for sign off.
  6. Following up on the status of liquidations and recording updates on the corporate action tracker and drive the closure of liquidations.
  7. Identifying, advising on and monitoring related party and connected persons transactions that arise through the Group Corporate Structure and Corporate Action Approval processes.
  8. Providing input into the PLC Annual Report on any Related Party/Connected Person transactions occurring during the year.
  9. Supporting on related tasks and general queries from within the Group’s network which come through the secretariat email inbox, including the provision of Group entity information, delegated authorities, document execution and subsidiary governance.
  10. Owning and maintaining the Power of Attorney Guidance and Controls document on the Power of Attorney Bridge page.
  11. Becoming the subject matter expert and trusted adviser on the Power of Attorney process.
  12. Maintaining the documentation for PoAs issued by Senior SC Bank Power of Attorney Holders.
  13. Ensuring PoA templates, request form and guidance notes are kept up to date and published on the Bridge Page.
  14. Building relationships with PoA Coordinators to ensure they are aware of, and delivering on, their responsibilities.
  15. Ensuring the effectiveness of controls around the end-to-end PoA process, mitigate risks and implement efficiencies.
  16. Ensuring any organisational/senior management changes are reflected in Senior PoAs granted to business leaders.

Requirements

  1. Qualified chartered secretary with previous corporate company secretarial or senior administrative experience within a banking environment.
  2. Exceptional organisational skills and attention to detail.
  3. Strong networking and relationship management skills.
  4. Confident communication skills with the ability to positively impact and influence others.
  5. Excellent data gathering and reporting skills.
