Position Summary
Seeking Assistant Counsel, Compliance Officer and Company Secretary to join small, very busy, and friendly European corporate legal and compliance team which services Assured Guaranty's regulated platforms in London, Paris and Madrid and also provides support to a Singapore representative office and Australian service company.
Role involves providing legal, compliance and governance support principally to (i) Assured Guaranty UK Limited, an insurer authorised by the PRA and regulated by the PRA and FCA (AGUK) and (ii) Assured Guaranty (Europe) SA, a French insurance company authorised by ACPR (AGE) and part of the global Assured Guaranty group. Role is fast-moving and broad-ranging, requiring a motivated, 'self-starter' candidate.
Role to report to Chief European Corporate Counsel in London and to liaise closely with AGE Chief Compliance Officer and other team members.
Primary Responsibilities
Role is very broad ranging, and responsibilities include:
- Legal research and review covering a broad range of topics affecting Assured Guaranty including financial services regulation, data privacy, employment and corporate matters.
- Preparing, reviewing and amending a range of (non-transactional) agreements.
- Key role in organizing and managing a large number of Board and Committee meetings including organizing and contributing to a large number of meeting papers, uploading them onto Diligent, coordinating with other participants, taking accurate minutes, tracking and helping to close action points.
- Implementing AGUK and AGE compliance plans and work relating to their respective compliance manuals, training, onboarding and KYC processes.
- Significant participation in various legal and compliance projects.
- Assisting with different aspects of Assured Guaranty's governance structure including management of policies and procedures and other governance documents.
- A wide range of applications and filings including those with the PRA, FCA and other regulatory agencies, Companies House, LEI and UK ICO.
- Drafting resolutions, incumbency certificates and other corporate and legal documents.
- Extensive interaction with other Assured Guaranty personnel including Board members, Legal & Compliance, Risk and HR.
Candidate Background
Essential:
- Qualified lawyer.
- Financial services background.
- At least 5 years' relevant legal, compliance and governance experience.
- Experience working on international matters.
Strongly preferred:
- In-house experience at insurance company/other financial services firm.
- PRA/FCA experience; ACPR experience also useful.
- Familiarity with Diligent/other Board applications.
- Bright, proactive and analytical.
- Curious, thoughtful, quick/ keen to learn, self-motivated and 'can do' attitude.
- Comfortable with change and tackling challenges.
- Proven track record in managing multiple matters successfully.
- Comfortable multi-tasking and working under pressure.
- Extremely well-organized and strong time-management skills.

Compensation
Compensation will depend on various factors, including but not limited to a candidate's experience and credentials, salary expectations of applicable candidates, and other applicable market conditions. This position also provides applicable employee benefits, as well as eligibility for an annual discretionary bonus and long-term incentive awards.
