Job description

Responsibilities:

  • Assisting in managing share issuances across the group and handling document execution and registry filings.
  • Maintaining up-to-date records and staying diligent with updates for global entities and acquisitions.
  • Managing user access and permissions, adding and removing users as required.
  • Liaising with external company secretarial support for necessary assistance and updates.
  • Facilitating the execution of documents, both wet signature and using electronic platforms like DocuSign.
  • Assisting the group with KYC (Know Your Customer) and due diligence requests.
  • Updating the group structure chart and diligently tracking changes made.
  • Supporting company secretarial projects, including refinancing, restructuring, liquidations, and strike-offs.
  • Assisting with global acquisitions and post-completion matters, including required filings.
  • Drafting various legal documents, such as consent to act, resignation letters, and written resolutions.
  • Supporting year-end processes, including updating strategic and directors reports and contributing to the approval of accounts and their submission to Companies House.
  • Ensuring timely filings with Companies House for all necessary submissions, such as TM01, AP01, Change of Articles, and share changes.
  • Collaborating with individuals responsible for producing papers for boards and committees across a portfolio of divisions.
  • Working with Executive Assistants to manage and schedule meetings for the year.
  • Distributing board and committee papers in a timely manner, utilizing Diligent boards and SFS.
  • Assisting directors with the use of the Diligent platform should they encounter any issues.

Experience:

  • Previous experience in a similar company secretarial or paralegal role.
  • Strong understanding of corporate governance practices and compliance requirements.
  • Knowledge of share issuances, document execution, and registry filings.
  • Familiarity with KYC and due diligence processes.
  • Experience working with electronic document signing platforms like DocuSign.
  • Ability to draft and review legal documents accurately and efficiently.
  • Knowledge of Companies House requirements and familiarity with relevant filings.
  • Excellent organisational skills and attention to detail.
  • Proficient in using Diligent boards or similar board management software.
  • Strong communication skills and the ability to collaborate effectively with internal and external stakeholders.
  • Self-motivated with the ability to work independently and manage multiple priorities.
