Description

We are seeking a skilled and experienced Paralegal, either with a Company/Commercial focus or Corporate focus, to join our legal team based in London lead by our Chief Legal Officer.

This role is crucial in providing administrative support to the business and Executive team, and we are looking for someone who is flexible, willing to learn, ready to roll up their sleeves and hit the ground running, and who can build key relationships across the business.

We operate a hybrid working environment and we expect employees who are based in London to be working in the office ideally twice a week.


Responsibilities
  • Maintaining corporate records for the UK entities within the Forterro group, including providing support with Companies House filings, preparation of corporate resolutions, board of director / registered office changes, filing annual accounts and reports, and keeping the Forterro group company registers up to date (and liaising with local teams in other jurisdictions where Forterro is incorporated to do the same).
  • Managing internal signing processes and coordinating signatures for documents.
  • Where required, assisting with obtaining notarised/legalised documents.
  • Coordinating KYC resources and working with M&A deal teams and Finance function to satisfy KYC requirements for corporate or financial transactions.
  • Assisting with corporate entity formations, and/or liaising with external counsel where required to incorporate new entities in the Forterro group.
  • Providing contract support (e.g., managing business templates, and providing administration and drafting assistance) for standard corporate agreements, such as commercial contracts, supply contracts, employment contracts etc.
  • Reviewing non-disclosure agreements.
  • Providing administrative support for documents and activities related to corporate board or constitutional changes, restructuring, including mergers and dissolutions.
  • Developing and maintaining internal file systems and processes and ensuring business resources are properly organised and accessible.
  • Other general paralegal, organisational and administrative support for Finance, PX and Legal as the need arises.

Skills, Knowledge & Expertise
  • Suitable applicants will have a strong academic background (a legal academic background is desirable but not essential).
  • In order to be considered, applicants will also have 12+ months of either:
    • previous administrative experience, preferably at a major City organisation or professional services firm, in a corporate discipline, but with a willingness to learn and expand on scope of responsibility, or
    • prior paralegal experience amassed from a City law firm, or in-house legal function.
  • Familiarity with UK company law, commercial law or employment law is desirable but not essential, and we welcome applications from candidates who are keen to develop their knowledge in these areas.
  • Proficiency in Microsoft Office Suite, DocuSign and Adobe/PDF is essential.
  • Some experience with legal research and drafting legal documents would be beneficial, but it is not essential.
  • Excellent organisational and communication skills.
  • Strong attention to detail and the ability to multi-task.
  • Ability to work proactively and well under pressure.
  • Must be able to self-manage and deal with conflicting priorities from different sources within the business, including in other non-UK jurisdictions.
