About the Role : We are seeking a Corporate Governance Paralegal to join our global legal team. This role focuses on supporting global corporate governance initiatives with an initial focus on the EMEA region, overseeing post-M&A administrative integration processes, and ensuring compliance with legal and regulatory requirements for corporate legal entity maintenance. The ideal candidate will possess strong experience in corporate housekeeping, corporate law, M&A transactions, along with a proactive approach to managing legal risk and driving operational efficiencies.
Position will be based in the EMEA region in a hybrid work setup, within close proximity to a local office (Warsaw, Poland preferred, but other locations such as Portugal (Almada), Spain (Tarragona), Czech Republic (Prague) will be considered as well).
All candidates must be eligible to work in Europe. Please be aware that we do not offer a relocation package if you are considering relocating. We do not provide visa support for this role.
Key Responsibilities
Corporate Governance and Compliance
- Manage day-to-day corporate governance for entities globally with an initial focus on the EMEA region, including preparation of board and shareholder resolutions, corporate filings, and maintenance of corporate records.
- Oversee regular compliance activities such as annual general meetings, director changes, and share capital maintenance.
- Ensure adherence to local legal entity legal and regulatory requirements and maintain up-to-date knowledge of applicable laws in multiple jurisdictions.
M&A Transactions and Post-Closing Integration
- Support M&A transactions by coordinating legal due diligence, entity formation, and transaction document execution.
- Support post-closing integration efforts, including driving corporate entity consolidation, governance harmonization, and alignment of legal structures with business objectives.
- Monitor and streamline post-deal corporate governance processes to ensure timely execution and compliance.
Cross-Functional Collaboration
- Partner with legal, tax, finance, and compliance teams to address ongoing legal entity requirements and governance priorities.
- Collaborate with external legal advisors and corporate service providers to ensure seamless governance operations.
Corporate Housekeeping and Reporting
- Manage and maintain entity management systems and databases to ensure accurate and current records.
- Provide regular reports on governance status, entity health, and ongoing legal obligations to senior leadership and other stakeholders.
UBO And KYC Management
- Oversee Ultimate Beneficial Ownership (UBO) compliance and reporting for relevant entities.
- Manage KYC processes for corporate entities, ensuring regulatory compliance across jurisdictions.
- Liaise with external regulators, banks, and stakeholders to address UBO / KYC-related matters.
Qualifications
Education :
- Post-graduate certificate in paralegal studies is required; law degree (LL.B., LL.M., or equivalent) is a strong advantage.
Experience :
- 5+ years of experience in corporate governance, legal compliance, or corporate law.
- Prior experience handling multiple tasks in M&A transactions and post-closing integration processes.
- Experience with Ultimate Beneficial Ownership (UBO) reporting and Know Your Customer (KYC) processes is a plus.
- Previous work in a law firm will be a strong advantage.
Skills :
- Strong knowledge of legal entity governance compliance.
- Fluent in English; any other language would be a plus.
- Resilience and proven ability to manage multiple projects simultaneously and prioritize tasks in a fast-paced, demanding work environment.
- Excellent organizational, problem-solving, and communication skills.
- Proficiency with entity management systems (e.g., Diligent, GEMS, or similar tools).
- Strong technology skills and proficiency with Microsoft Office suite (e.g., Microsoft Forms, Excel, PowerPoint, Word, Workiva), as well as a willingness to learn and adapt to new platforms.
