We’re building Assist, an AI-powered study assistant that integrates seamlessly with university systems to support students outside the classroom. We have developed a proof of concept (POC) and are in discussions with two universities to run a pilot program. Now, we are seeking an experienced Head of Fundraising to lead our investment efforts—raising our seed round to complete the MVP and preparing for a larger Series A to scale globally.
Summary of the Role
As Head of Fundraising, you will be responsible for securing investment from VCs, private investors, and innovation funds to fuel our next stage of growth. You will refine our investment materials, engage with potential investors, and lead funding negotiations.
Qualifications & Skills
- Proven Experience in Fundraising – Successful track record of raising pre-seed, seed, or Series A funding for startups.
- Strong Network in VC & Investment Circles – Connections with EdTech investors, AI-focused funds, or general startup VCs.
- Expertise in Startup Finance & Negotiation – Deep understanding of term sheets, cap tables, equity structures, and valuation methods.
- Experience in Enterprise Sales or Academic Partnerships (Preferred) – Familiarity with higher education procurement processes is a plus.
- Excellent Communication & Storytelling Skills – Ability to craft compelling pitches and negotiate effectively with investors.
- Self-Starter with an Entrepreneurial Mindset – Comfortable working independently in a fast-paced startup environment.
What Success Looks Like in This Role:
- Work with the management team to refine investor materials, develop a targeted investor outreach strategy, and initiate funding discussions.
- Secure our seed funding, allowing us to launch pilots with our partner universities.
- Help position modiEd for a successful Series A round, securing long-term funding for expansion into new university markets.
Time Frame:
Within the First 2 Weeks:
- Finalize pitch materials and financial models with the founding team.
- Initiate targeted outreach to top investor prospects.
- Early term sheet interest covering at least 50% of the seed round target.
- Conduct thorough investor meetings and follow-ups to move toward commitments.
By End of April (Within 2 Months):
- Successfully close the seed round with committed investors.
- Develop a robust Series A fundraising strategy post-seed close.
- Refine investment materials and financial models based on seed round insights.
- Build and maintain a pipeline of investors for Series A, aiming to secure early commitments leading up to a mid–August close.

As Fundraising Lead, you will work directly with the founding team (experts in AI and product development) and play a critical leadership role in shaping the company’s financial trajectory. Your work will enable product development, university partnerships, and long-term scalability, positioning modiEd as a global leader in AI-driven education.
Note: This role is initially unpaid, but the commission structure ensures high earning potential for the right candidate. We are looking for a results-driven, entrepreneurial individual who thrives in early-stage startups and is motivated by high-impact opportunities. There will also be the potential to join the team.
Key Responsibilities
- Lead Seed Fundraising Efforts – Secure funding from VCs, angel investors, innovation grants, and strategic partners.
- Refine Investment Materials – Work with the founding team to develop pitch decks, financial models, and investor briefs.
- Investor Outreach & Relationship Building – Identify and engage potential investors, handle negotiations, and close funding deals.
- Develop Funding Strategy for Future Rounds – Position modiEd for a successful Series A by aligning early investments with long-term growth.
- Track & Report on Fundraising Progress – Provide regular updates to the founding team and stakeholders.
Compensation & Commitment
Compensation: Commission-based (a percentage of funds raised).
Commitment: Flexible, part-time or full-time based on availability.
Location: Remote (Preference for Europe / North America / United Arab Emirates).
