Reporting to the Director of Finance & Legal, this role offers an opportunity to make a significant impact on our company. The Legal Counsel is responsible for advising on a broad range of legal matters pertaining to the Company and its legal strategies. Additional responsibilities of this position include providing legal advice to senior management, advising on proposed business initiatives, involvement and oversight of certain litigation matters, and the drafting, review, and negotiation of agreements.

Responsibilities:

  • Provide legal counsel across a range of business-related areas including Corporate Law, Business Operations, Corporate Partnerships, Real Estate, Finance & Tax, Business Litigation, Intellectual Property, Employment, Regulatory, and Privacy.
  • Structure, draft, negotiate, and approve legal contracts, agreements, policies, and other business-related documents.
  • Liaise with external legal counsel on complex legal issues and litigation matters, integrating external advice with internal feedback.
  • Represent the organization in disputes through litigation, arbitration, or mediation with courts, government agencies, or other legal authorities.
  • Collaborate with the executive team and board of directors to implement legal strategies, ensuring compliance with legal standards and regulations.
  • Assess and mitigate legal risks in business decisions, providing proactive advice on potential opportunities and risks.
  • Research, analyze, and interpret existing and proposed laws, statutes, and regulations affecting business operations.
  • Provide legal clarifications and responses to inquiries from internal stakeholders on corporate, commercial, governance, and compliance matters.
  • Manage intellectual property filings, registrations, and protections.
  • Oversee the company’s legal budget, ensuring efficient use of resources.

Qualifications:

  • Outstanding analytical, drafting, and negotiation skills, with an ability to learn quickly and apply technical skills to a wide range of business initiatives.
  • Valued for strong analytical skills that help you resolve client and legal concerns practically and efficiently.
  • Noted for your ability to effectively communicate legal advice to a diverse range of stakeholders. You thrive in a fast-paced, results-oriented environment. Recognized for your record of successfully managing multiple, concurrent files and priorities and delivering on commitments.
  • Sharp and practical business acumen.
  • Bilingual (French and English) and capable of drafting, negotiating, and practicing in either language is an asset.
  • Called to the Bar for at least 5 years.
  • 3 to 5 years of post-call experience in a reputable law firm or in-house.
  • Member in good standing with any Law Society in Canada.
  • Experience in a manufacturing or distribution organization is preferred.

In this role, you will provide legal advice on a variety of business matters. You will manage legal risks, draft and negotiate contracts, and ensure the company follows relevant laws and regulations. You will work closely with internal teams and external counsel, offering practical, business-focused legal guidance. You’ll also represent the company in legal matters, manage intellectual property protections, and help control legal costs. Strong communication, attention to detail, business acumen, and a proactive approach are key.
