Overview:
On behalf of our top tier, downtown Vancouver law firm client, we are seeking a Securities Paralegal to support our client’s busy Business Law practice group. The position provides an opportunity to work with a vibrant and team-oriented group of people. The successful candidate will have experience working in a Canadian law firm, be energetic, flexible, highly motivated and driven to succeed.
What you will be doing:
- Preparing incorporation documents and corporate governance policies, including audit committee charters and codes of ethical conduct, for review by counsel.
- Preparing drafts of equity compensation plans for counsel’s review, including agreements, resolutions, plan maintenance and required regulatory filings.
- Preparing proxy materials for general meetings of shareholders of reporting and non-reporting issuers for counsel’s review.
- Liaising with various securities commissions, stock exchanges and legal counsels, as and when requested by counsel, to ensure compliance with policies, acts, regulations.
- Preparing and coordinating brokered and non-brokered private placements, including managing and tracking of financing details agreements, resolutions, list of placees, required regulatory filings, security issuance and all other related documents.
- Preparing and coordinating Prospectus offerings, Qualifying Transactions, reverse takeovers, asset acquisitions/dispositions, drafting securities and corporate documents/agreements for various transactions.
- General continuous disclosure, including news releases and material change reports.
- SEDAR+, SEDI, TMX Linx, CSE Portal, Corporations Canada and BC Registry filings.
- SEDI administrator including acting as filing agent for insiders and issuers; managing issuer profile supplements and filing/maintaining insider reports.
- BC Online, Corporate Online and Corporations Canada filings and searches.
- Incorporation of companies (BC, federal and/or out of country).
- Maintenance of corporate records, including preparation and filing of annual maintenance documents, preparation of meeting Minutes and Resolutions, various share transactions.
- Maintenance of ALF database.
- Maintain filing system and electronic files.
- Other file management support as required.
What you must have:
- A paralegal certificate from an accredited institution.
- Strong experience in securities, preferably in a Canadian law firm environment.
- Solid organization skills with the ability to handle a high volume workload.
- Advanced technical skills including MS Word, MS Excel, SEDAR+ and SEDI.
- Commitment to providing first-rate level of knowledge and prompt quality service to clients and internal stakeholders.
- Excellent communication and interpersonal skills with the ability to listen effectively and respond appropriately.
- High level of professionalism and confidence to communicate directly with clients and counsel.
- Strong attention to detail to produce high quality and accurate work.
- Ability to work effectively independently with a high level of autonomy and as a contributing member in a team environment.
- Solid decision-making and problem-solving skills coupled with a willingness to learn and to adapt to changing demands.
- Ability to prioritize tasks by deadline, work calmly under pressure and manage high volume of work in a fast-paced environment.
- A high level of initiative and resourcefulness.
Salary/Rate Range: $95,000 – $115,000
(Actual compensation will be dependent upon several factors, including but not limited to, the candidate’s relevant education, experience and qualifications.)
