Our client, Canada’s largest majority dentist-owned network of dental practices, with more than 400 locations nationwide and over 6,000 employees is looking to add a Paralegal to their team.

This is an on-site position.

POSITION OVERVIEW:

• The role will primarily consist of legal-related work across a number of strategic and operational imperatives (including acquisitions, leasing, and general corporate law matters).

• The Paralegal will work closely with the Legal Department to identify and assume responsibility for projects and processes in need of support.

KEY RESPONSIBILITIES:

  1. Preparing transaction closing documents, authorizing resolutions, and generally facilitating the execution of transactions.
  2. Conducting and summarizing corporate searches and other transaction diligence, including preparing and pursuing no interest letters or discharge undertakings.
  3. Preparing leases and lease renewals, extensions, assignments and amendments, including coordinating same with landlords.
  4. Working with the Legal Department or other departments on transaction-related matters, including supporting acquisition activity and overseeing post-closing integration, and assisting with the execution of transaction and corporate documents.
  5. Supporting regulatory and compliance matters, including conducting research and implementing or refining processes.
  6. Coordinating with external legal counsel as required, and effectively communicating advice to legal and other departments as needed.
  7. Supporting corporate law matters, including share subscriptions, corporate resolutions, minute book maintenance, managing permit and registration renewals, and liaising with external agents and governmental bodies.
  8. Assisting with regulatory college filings, permit renewals and conducting research on provincial regulatory requirements.
  9. Developing and revising contract templates.
  10. Assisting with maintaining corporate databases, including list of practices, partners and services.
  11. Assisting with managing litigation matters and disputes.
  12. Working within the Legal Department and with the business on a wide range of legal and business projects and process improvements.

KEY REQUIREMENTS/SKILLS:

  1. Highly motivated and demonstrated ability to work in a fast-paced environment, meet stringent timelines, prioritize work relative to business context, handle multiple demands simultaneously while maintaining attention to detail.
  2. Minimum of 3-6 years’ experience as a Paralegal is required, gained at a top law firm or corporation.
  3. Background in mergers and acquisitions of private companies and leasing preferred. Ability to drive process improvements and manage projects.
  4. Proven ability to work autonomously with excellent judgment and analytical skills.
  5. French language proficiency is a bonus but is not a requirement.
