ABOUT THE ROLE

The College of Massage Therapists of Ontario (CMTO) is seeking an experienced, proactive, and highly organized Manager, Governance to play a pivotal role in both managing administrative operations and advancing governance excellence and modernization across the organization. This leadership position is integral to ensuring the effective management of governance processes, including the oversight and updating of by-laws, and fostering continuous improvement in practices, frameworks, and structures.

The Manager, Governance is responsible for overseeing the administration of governance-related activities, ensuring compliance with by-laws and policies, and implementing best practices. This role collaborates closely with the Registrar & CEO to oversee governance committee activities and meetings, coordinate training, and drive innovation in governance frameworks, decision-making, and structures.

KEY DUTIES AND RESPONSIBILITIES

Administrative Management and Governance Coordination

  1. Manage all aspects of governance processes, including Board elections, non-Board committee recruitment, and development of the committee slate.
  2. Ensure compliance with by-laws, policies, and governance best practices, including managing and updating the by-laws as required.
  3. Oversee onboarding and offboarding processes for Board and committee members.
  4. Coordinate and facilitate governance training sessions to enhance role understanding and effectiveness.

Board and Committee Operations

  1. Administer and support all Board and committee meetings (including the Executive Committee and Governance Committee) in collaboration with the Registrar & CEO.
  2. Lead agenda development and the preparation of meeting materials, ensuring they align with organizational goals.
  3. Manage scheduling, hybrid/remote meeting logistics, and post-meeting follow-up, including action item tracking.

Governance Advancement and Modernization

  1. Maintain and evolve governance frameworks, including handbooks, calendars, and supporting materials.
  2. Identify and implement modernization initiatives to enhance governance structures, processes, and workflows.
  3. Act as a key liaison between the Board, the Registrar & CEO, and Senior Staff, fostering collaboration and clear communication.

SKILLS

  1. Accountability and ownership of governance-related responsibilities, ensuring tasks are managed with precision and completed efficiently.
  2. Advanced proficiency with Microsoft Office Suite, Adobe, and remote meeting technologies, including confidently managing hybrid and virtual meeting environments.
  3. Superior organizational and time management capabilities, with a demonstrated ability to prioritize, multi-task, and deliver results under tight deadlines in a fast-paced environment.
  4. Critical thinking, sound judgment, and innovative problem-solving skills to effectively handle governance challenges and drive improvements.
  5. Demonstrated ability to work independently, proactively managing governance operations while anticipating organizational needs and aligning with the Registrar’s expectations.
  6. Excellence in communication for a variety of audiences, including internal teams, legal counsel, government oversight bodies, and professionals, ensuring clarity and professionalism in all interactions.
  7. Leadership in building networks and fostering collaborative relationships, with a focus on teamwork and achieving shared objectives.
  8. Proficiency in negotiating and finding common ground among diverse stakeholders, managing conflicts tactfully while ensuring progress on key governance initiatives.
  9. Trustworthiness and discretion in handling sensitive and confidential information, maintaining the organization’s integrity and reputation.
  10. Adaptability and resilience in navigating organizational change, shifting priorities, and evolving governance practices.
  11. Knowledge of government processes for Board and Council appointments, with the ability to effectively liaise with government officials.
  12. Fluency in French (considered an asset).

QUALIFICATIONS

  1. A post-secondary degree or diploma and at least 5 years’ relevant experience in public administration, governance, management support, or regulatory affairs, or an equivalent combination of education and work experience.
  2. Experience in governance, policy development, Board operations, communications, or comparable staff roles, with demonstrated skills in management, business analysis, and policy implementation.
  3. In-depth knowledge of governance processes, including Board appointments, and familiarity with regulatory frameworks.
  4. Fluency in French (considered an asset).
