Established by way of the Safety Codes Act in 1993, the Safety Codes Council (“the Council”) is an independent regulatory body delivering programs on behalf of the Government of Alberta. The Council ensures that systems and structures are designed and built in compliance with relevant safety codes. The Council provides oversight of technical disciplines and Alberta's safety codes system. The Council also operates the Alberta Safety Codes Authority. In addition to oversight of the safety code system and being a key policy advisor, the Council achieves its mandate through education, guidance, support, and collaboration with industry professionals and partners.

Our Mandate

Alberta’s public safety codes system depends on a strong partnership between Alberta Municipal Affairs and the Safety Codes Council. The fundamental goal of this partnership is to administer the safety codes system to ensure it is effective, accountable, comprehensive, and sustainable, and maintains public confidence in the system. The Council is governed by a Board of Directors to support the fulfillment of the Minister’s coordination of the safety codes system.

The Minister and the Board of Directors work together to maintain and continuously improve the safety codes system. The Minister and the Board communicate regularly and collaborate on planning, issues resolution, and other matters.

The Opportunity

With a focus on governance, oversight, and strategy, the Board seeks to fill a director vacancy. The new Director will be a Chartered Professional in Accounting (CPA) with significant executive leadership experience. This individual will add value to the Board and management team through their solid and demonstrated understanding of the role, fiduciary responsibilities, and legal duties of a Board Member, board governance, principles, practices, and structures.

As a member of the Board of Directors for the Safety Codes Council, the successful candidate will have the opportunity to offer valuable input and strategic direction of the organization and the way the Council supports the safety codes system, the public, and the economy.

The successful candidate will serve an initial 3-year term and have the ability to devote 15-20 hours per quarter on board activities including events and meeting preparation and participation.

Key Responsibilities

  • Review and approve corporate governance policies, assist in policy development, and ensure compliance.

Strategic Planning

  • Participate with management in developing, approving, and annually assessing the five-year strategic plan and the three-year business plan.
  • Consider, approve, and annually review budgets (capital, operating, and growth) to align with strategic and business plans.

Performance Measurement, Monitoring, and Reporting

  • Establish and monitor performance objectives for the President and CEO.
  • Evaluate and report on the Council’s performance against its strategic and business plans.

Finance Management and Controls

  • Oversee financial planning and activities of the Council, as well as ensure appropriate financial management and controls.

Compensation and Benefits

  • Review and approve the Council’s compensation philosophy and determine the President and CEO salary and benefits.

Risk Management and Compliance

  • Annually review and advise on the Council’s risk management system and determine risk appetite with the President and CEO.
  • Semi-annually review a risk register through the Audit and Risk Committee to identify and manage significant risks.
  • Ensure compliance with laws, regulations, MRD, and Bylaws, and maintain high ethical standards.

Conflicts of Interest

  • Review and resolve conflicts of interest, maintaining a Code of Conduct and periodic procedural reviews.

Recruitment, Appointment, and Oversight of Board and Council Members

  • Define and review a competency matrix for Board members, manage recruitment, and assess Board effectiveness.
  • Provide orientation and identify development opportunities for Board members, ensuring adherence to the Code and Oath of Confidentiality.
  • Maintain an Annual Work Plan and oversee governance practices to meet the needs of the Minister, Council, and stakeholders.

Qualifications

The successful candidate will have the following:

Experience:

  • Previous governance Board experience is required.
  • Ten (10) years of leadership experience at the Executive level as a Chartered Professional in Accounting (CPA).
  • Exposure to an organization with a public interest focus, either regulatory or other public service agency.
  • A high level of integrity and exceptional reputation, both individually and within the area of their professional experience.
  • Solid and demonstrated understanding of the role, fiduciary responsibilities, and legal duties of a Board Member, board governance, principles, practices, and structures.
  • Institute of Corporate Directors Designation or a similar Board governance credential is preferred.

  • Excellent organizational and time management skills with the ability to work towards goals within deadlines.
  • Professional maturity, with the ability to work through conflict and competing priorities in a measured, calm and collaborative way.
  • Demonstrated track record of professionalism coupled with the ability to make decisions that will be vital to the Board.
  • Exercise good judgment and recognize sensitive issues.
  • Models high ethical standards, integrity, acts honestly, and in good faith.
