Dragados Canada, Inc., the Canadian construction arm of the ACS Group (one of the world’s largest international construction and engineering companies), is seeking a motivated Corporate Law Clerk to join its legal team in Toronto, ON. This is an exciting opportunity to contribute to the success of a dynamic organization involved in complex infrastructure projects across Canada.

Dragados Canada was established in 2008 and has grown steadily into an industry-leader in Canada, with offices in Toronto, Vancouver and Montreal, successfully performing a variety of large-scale transportation, bridge, dam, tunnel, and other major infrastructure projects.

The Corporate Law Clerk is a key role within the legal team, working alongside our in-house lawyers and other department stakeholders on the company’s various complex legal and commercial issues. The successful candidate will ensure compliance with corporate governance requirements, assist in managing legal documentation, and provide support for diverse legal matters that arise in a fast-paced corporate environment.

Responsibilities

  • Draft and maintain corporate registers, minute books and records, including federal, provincial, and local corporate filings
  • Maintain corporate licences and authorizations to transact business in various provinces, including assistance with public sector due diligence, security and mandatory licensing requirements
  • Prepare corporate information for RFPs/bids, including compiling historical compliance, litigation, and investigation data
  • Manage the legal department’s filings and counsel invoicing systems
  • Assist with drafting and maintenance of the company’s precedents and template documents, as well as corporate policies, practices, and procedures
Qualifications

  • Law Clerk diploma or diploma/degree in other relevant discipline
  • Corporate law clerk experience in a similar large, fast-paced, national corporate legal department or law firm
  • Proficient with MS Office Suite, legal matter management software, Sharepoint, Box, Teams/Zoom
  • Fluency in both English and French are highly preferred
  • Strong communication skills
  • Ability to balance multiple priorities and meet deadlines
  • Strong attention to detail
