Job description

Overview:

Committed to strong leadership, teamwork, collaboration, and the belief that we are most effective when we embrace and build on the collective strengths of our people, the Corporate Governance Secretary will guide the annual BOD calendar and Corporate Governance Services, working to establish and successfully deliver on team goals – all in service to High Tide’s mission, vision, and strategic plan. This role reports to the CFO.


Responsibilities:

  1. Co-ordinate with HR, Legal, CEO, CFO, and external legal counsel for the governance.
  2. Co-ordinate with Audit committee, governance committee, compensation committee, the exchange(s), and joint venture partners to organize monthly, quarterly, and annual meetings.
  3. Research and advise on best practices related to public company governance.
  4. Collaborate closely with the CFO & Board to meet strategic governance needs and implement a structure for organizing document sharing.
  5. Monthly filing to stock exchange in collaboration with external and internal counsel and internal stakeholders.
  6. Collaborate closely with the CFO and HR on gap analysis assessment of governance structures and systems.
  7. Responsible for overseeing the development and execution of pro-active governance planning to ensure a pipeline of leaders and appropriate training and orientation.
  8. Guide development, maintenance, and consistent application of High Tide’s Governance Manual (CGM) for all Boards and committees.
  9. Work with legal counsel and HR, Compliance to manage recommendations and maintenance of governance policies.
  10. Attend board meetings as required.
  11. Track and prepare minutes of meetings and board resolutions for approval.
  12. Manage Omnibus Option Trax and its workings to ensure all the options, grants, and RSUs are accurately tracked and processed.
  13. Serve as staff liaison for distribution and educate the employees for the stock options and RSUs grant, as per company policies.
  14. Work with internal and external counsel to complete Annual information form and management information circular as per SEDI requirements.
  15. Introduce the company executives on public market calls as needed.
  16. Ensure completion of PIFs form for the executives.
  17. Communicate insider trading policy including blackout dates at the required intervals and ensure its compliance.
  18. All other duties as assigned.

Qualifications:

  1. Bachelor’s degree in Business Administration, Legal Studies, Corporate Governance, or a related field.
  2. 5 plus years of experience in corporate governance, legal, or administrative roles (preferably in a corporate or regulated environment).
  3. Knowledge of corporate governance principles, regulatory frameworks, and compliance requirements.
  4. Strong organizational and time-management skills, with the ability to prioritize tasks and meet deadlines.
  5. Excellent written and verbal communication skills.
  6. Proficiency in Microsoft Office Suite and governance management platforms (e.g., Omnibus Option Trax or similar tools).
