About the Role

Hi, I'm Cato, CEO and Co-Founder of Loop and I am hiring a Head of Compliance and Legal to ensure compliance with all regulatory requirements across all of Loop's entities and lead and execute our legal strategy. This position will require a deep understanding of both compliance of regulated financial services businesses and legal frameworks across Canada. This role is an onsite position at our downtown Toronto office (Adelaide and Spadina).

Where You Come In

We are seeking a seasoned compliance and legal professional to maintain our company policies, ensure our organization is compliant with applicable regulations and help manage our commercial and strategic partnerships. In addition to owning legal requirements, you will be responsible for implementing, and managing all aspects of our compliance programs.

You will act as the Chief Privacy Officer (“CPO”), Chief Anti-Money Laundering Officer (“CAMLO”) and Chief Compliance Officer (“CCO”) for Loop and our regulated subsidiaries. You will be expected to obtain and maintain any necessary requirements to maintain these positions.

In this role, you will be part of the company's leadership team and report directly to the CEO.

What You’ll Be Doing

Compliance :

  1. Lead the development, implementation, and maintenance of the firm's compliance program, ensuring compliance with all relevant regulations that are applicable to Loop's business, which includes but is not limited to:
  • FINTRAC and Proceeds of Crime (Money Laundering) & Terrorist Financing Act (PCMLTFA)
  • Retail Payment Activities Act (RPAA)
  • Provincial Securities Laws
  • Lending Regulation
  • Privacy Law (PIPEDA)
  • International payment and banking regulations
  • Draft, review, maintain and ensure the implementation of all compliance and risk-related policies and procedures, including but not limited to training programs, privacy management, complaints management and record-keeping requirements.
  • Prepare and submit regulatory filings and reports to relevant authorities as necessary.
  • Identify and mitigate legal, regulatory, and operational risks associated with our business, ensuring the company maintains a strong compliance posture.
  • Establish and oversee anti-money laundering (AML) and know-your-customer (KYC) frameworks, ensuring compliance with regulatory guidelines and industry best practices.
  • Conduct regular compliance audits and risk assessments and analyses to identify potential risks across all business functions.
  • Investigate, maintain records of and resolve compliance issues and incidents.
  • Develop, test and maintain incident and crisis management plans to effectively respond to and manage potential risk events.
  • Work with the product team to identify compliance requirements for new proposed offerings.
  • Provide expert advice to the leadership team and board of directors on compliance and risk matters.
  • Serve as the liaison with regulatory bodies, external auditors, bank partners and government officials.
  • Legal :

    1. Lead the process for obtaining necessary financial licenses and registrations for current and future products, serving as the primary liaison with regulatory bodies.
    2. Work closely with product, engineering, and business teams to ensure financial products and services comply with Canadian laws, including payments, lending, securities, and banking regulations.
    3. Draft, negotiate, and review commercial contracts, partnership agreements, and corporate governance documents, ensuring legal protections align with business objectives.
    4. Advise on all internal legal matters including contract, employment, financial and other legal matters.
    5. Lead legal responses in cases of regulatory inquiries, compliance audits, data breaches, or litigation (and managing relationships with external counsel as applicable).

    What We’re Looking For

    1. Minimum of 5 years of experience in a legal position.
    2. Familiarity with laws and regulations applicable to fintech or financial services including payments, lending, securities, and banking.
    3. Law degree (JD / LLB) and admission to a relevant bar association (if applicable).
    4. Ability to work in a fast-paced environment with willingness to both execute small tasks and manage strategic projects.
    5. Ability to communicate complex legal concepts to business and technical teams clearly and concisely.
    6. Experience working with regulators, obtaining financial licenses, and advising on international compliance matters.

    1. Salary range CAD$180,000-$220,000 annually, commensurate with experience.
    2. Equity ranging from 0.25%-1.00%.

    Interview Process

    1. 30 minutes video call to discuss the opportunity and the organization with Sarah, Chief of Staff.
    2. 30 minutes video call to discuss the opportunity in more depth with Cato, CEO and Co-Founder.
    3. 90 minutes in person meetings with three team members.
    4. Take home questionnaire.
    5. 45 minutes in person meeting with Cato, CEO and Co-Founder.
    6. Background check and offer.
